MISSION STATEMENT OF THE DEPARTMENT OF BANKING AND FINANCE
The mission of the Department of Banking and Finance is to promote the economic well-being of Georgia communities by insuring a full spectrum of safe, sound, competitive and accessible financial services. Utilizing the highest professional standards, we carry out this mission through the efficient and effective chartering, licensing, regulating, assisting and supervision of financial services providers according to statutory requirements and prudent industry standards.
MESSAGE FROM THE COMMISSIONER
The year 1994 was certainly a challenging time for the Department of Banking and Finance, and the industries it regulates. The financial services industry, of which all the entities regulated and supervised by the Department are a part, is undergoing dramatic change. All indications are that this rapid pace of change will continue into the foreseeable future. To indicate that the evolution occurring in the financial services industry is dynamic would be a major understatement. This rapid rate of change is being influenced by a number of factors, However, perhaps the two most important factors driving change within the industry are passage of federal legislation to reduce or eliminate traditional geographic barriers to bank expansion, and developments in banking technology.
Congress passed the Riegle-Neal Interstate Banking and Branching Efficiency Act (RiegleNeal Act) and it was signed by the President on September 29, 1994, This legislation authorizes nationwide interstate banking by acquisition as of September 29, 1995, regardless of state law. A Georgia law effective July 1, 1995, already authorized this activity for Georgia banks on a reciprocal basis. However, beginning September 29, 1995, this will be the law of the land. The Riegle-Neal Act also contained other significant provisions including an ability for states to "opt-in" to an authorization for banks to engage in interstate mergers and the ability for affiliate banks to act as agents for each other in the delivery of many traditional banking services. Significant change in the Georgia Financial Institutions Code is necessitated by this federal legislation and Department personnel devoted many hours to the drafting of many of the needed amendments during the fourth quarter of 1994. Additional changes to the Georgia banking code will be needed during the 1996 and/or the 1997 sessions of the General Assembly to assure that the Department of Banking and Finance and the banking industry is properly positioned to deal with the changes to be brought on by this legislation,
A rapid evolution of technology within the banking industry has been the norm for many years. However, technological advancements particularly in the area of electronic service delivery have reached a revolutionary level in the past eighteen months, Point of sale terminals allowing the use of debit cards for payment at retail businesses, for instance grocery stores, have become much more widespread. "Stored value" or prepaid debit cards are growing in popularity.

Finally, true home banking, using a personal computer is a reality and very likely may become commonplace in the not too distant future. These products and others yet undeveloped, are pushing us more and more to a "cashless society".
I am happy to report that as a whole, banks and other depository financial institutions regulated by the Department are in a very sound condition, Earnings are good, loan quality is high and year-end capital levels were at record levels. Of course a few institutions continue to have problems and significant swings in the economy could result in problems for other institutions, The improved financial condition of the depository financial institutions in 1994 allowed the Department to focus additional resources upon the challenge of fully implementing the Georgia Residential Mortgage Act. Although this division of the Department is now operating smoothly, it should be noted that the licensing and supervisory activities required by this Act have significantly added to the Department's workload since the enactment of this law in 1993. Further, this workload continues to grow with the implementation of the examination program for mortgage licensees.
A number of steps were taken in 1994 to better position the Department to meet the current and future challenge of fulfilling its growing statutory responsibilities. For example, the Department initiated a strategic planning process which continues to be ongoing as of year end 1994. We believe this process will assist us in setting appropriate priorities and in remaining focused on the primary mission of the Department. The mission statement developed in this process is displayed on Page III. Another initiative of the Department begun in 1994 was a review of its internal procedures, and the banking code and its regulations for the purpose of streamlining them in an effort to reduce regulatory burden for the industry and improve the internal efficiency of the Department. This special review was incomplete at year end 1994 and is continuing. We have discovered that this process not only reduces unnecessary regulatory burden upon those we regulate but can also reduce unnecessary burden upon the Department's internal operations. As we move forward, we intend for this initiative to become a continuous process in an effort to consistently increase the efficiency and effectiveness of the Department's operations,
In many respects 1994 was a very busy year for the Department and those we regulate. However, we believe it was also a very productive year, The future will bring more change, more activities, and more responsibilities but we at the Department of Banking and Finance plan to be ready to meet the challenge.

HISTORY OF THE DEPARTMENT

The Department of Banking and Finance was created by the Ex
ecutive Reorganization Plan of 1972 as successor to the Depart
ment of Banking. In addition to changing the name of the Depart ment this reorganization also provided for the Department to be headed by a Commissioner as successor to the former Superintendent of Banks and transferred to the Department the supervision of State-Chartered building and loan associations The original Department of Banking was created by Act of the Legislature in 1919 concurrent with the enactment of The Banking Law which deals with the incorporation of banks and the regulation of the business of banking. In 1974 the Banking Laws were subject to substantial re-codification in the form of the Financial Institutions Code of Georgia which be came effective April 1, 1975. Since the establishment of
the Department in 1919, additional responsibilities have been assigned to the agency in the form of the Georgia Credit Union Act (1925); Trust Company Laws of Georgia (1927); Georgia Sale of Check Act (1965); The Fiduciary
Investment Company Act (1970); International Bank Agency Act (1972); Georgia Business Development Corporation Act (1972); Regulation of Check Coshers (1990); and the Georgia Residential Mortgage Act (1993). Provisions of Title 7 of the Code of Georgia relating to Bank Holding Companies were substantially amended effective July 1, 1976, to permit multi bank holding companies under Department supervision. In 1994, Georgia expanded its Regional Interstate Banking Law to recognize nationwide acquisitions, to be effective July 1, 1995,

AN OVERVIEW OF THE FINANCIAL SERVICE PROVIDERS REGULATED BY THE DEPARTMENT OF BANKING AND FINANCE
INTRODUCTION
The financial and statistical information contained in this report has been compiled from the annual reports of condition submitted by the 316 state-chartered banks, one statechartered trust company, 69 national banks, one national trust company, and 98 statechartered credit unions, one state-chartered savings bank, and 24 licensed money order companies operating in this state, and other statistical information made available through the examination, investigation and licensing of financial institutions and other entities under the supervision of the Department of Banking and Finance, This report, required by Section 7-1 -74 of the Official Code of Georgia Annotated, provides factual and statistical information useful to the financial industry, financial institutions and individuals who might be engaged in economic studies or might otherwise be interested in the evolution of Georgia's banking structure and related financial services industries.
BANKS
As reflected in year-end call reports, the banking system in Georgia grew 10.5% in 1994. Total assets for the state-chartered and national banks amounted to $99,537,000,000, reflecting a substantial increase of $9,465,000,000 from the end of 1993.
An increase in bank chartering, branching and conversion activity was noted in 1994. During the year, one new bank completed the chartering process, one bank which had been approved in 1992 opened for business, two banks converted from national to state charter, and one state-chartered bank converted to a federally chartered savings and loan association. Also, one phantom bank was chartered to serve as a merger partner. Thirty-four new banking offices and facilities were opened or acquired during the year while thirty-one bank offices were closed. Eleven banks found it cost efficient to merge into other banks and Articles of Dissolution were issued for one bank. At year end, there were 316 state-chartered banks with 576 banking locations operating in Georgia.
Articles of Amendment of Articles of Incorporation were approved for three banks to increase their authorized stock; no banks changed the par value of their shares; seven financial institutions changed their names. Three miscellaneous Articles of Amendment of Articles of Incorporation were approved. Permission was issued for ten banks to issue authorized but unissued shares through stock dividends or sales.

HOLDING COMPANIES
After a lull of several years, holding company formation and acquisition activity resumed its strong pace during 1994, The Department approved 45 applications by financial holding companies to acquire controlling interest in financial institutions. Of this amount, 11 of these applications were approved to establish new financial holding companies, and 34 applications were approved for additional acquisitions. During 1993, there were only 28 such applications. The fact that more holding companies are now in the acquisition mode is an indicator of the favorable financial climate prevalent in Georgia during 1994. At year-end, there were 227 financial holding companies regulated by the Department.
INTERNATIONAL BANKING
One new International Agency was licensed during 1994, and two agencies decided to consolidate their international development into offices in other states. The recent political developments in Europe as well as basic changes in business development plans have caused these changes. The year ended with twenty international bank agencies and five representative offices of international banks registered or authorized to do business in Georgia. There are also five Domestic International Banking Facilities operating in the state, These entities are only empowered to accept off-shore deposits and grant off-shore loans which are in excess of $100,000.
TRUST COMPANIES
Trust activities continue to be conducted principally by bank trust departments. As of the end of the year, there was one state-chartered trust company, and one national trust company each operating as an independent institution, Other depository financial institutions may exercise limited trust powers in connection with individual retirement accounts authorized by the Employee Retirement Income Security Act of 1976 enacted by Congress. Also, a few financial institutions offer trust services through agency relationships with banks which are authorized to offer trust services.
CREDIT UNIONS
Credit unions operating under state charter have continued their successful operations during 1994. Consolidated financial and statistical reports of the 98 state-chartered credit unions reflect assets which now total $3,753,541,000, and which have decreased $157,342,000 or 4.0% since the beginning of the year. All state-chartered credit unions provide their members with deposit insurance through the National Credit Union Administration. During the year, seven credit unions relocated to other quarters, and one credit union voluntarily dissolved.

MORTGAGE DIVISION
On March 29, 1993, House Bill 237 was signed into law by the Governor as Article 13 of Title 7 of the Official Code of Georgia Annotated. This Article requires all persons who transact business as a mortgage broker or mortgage lender to be licensed on and after July 1, 1993. At the end of 1993, active licenses and registrations for mortgage brokers and mortgage lenders in existence numbered 1, 025. At the end of 1994, active licenses and registrations in existence numbered 1,235, a net increase of 210 during 1994.
CHECK CASHERS
Service provided by licensed check coshers has continued to increase during 1994. As of the end of the year, there were 222 check coshers licensed. In order to assure that the public is being properly serviced by this industry, the Department initiated an active program of conducting examinations of check cashing businesses. Many of the licensees were visited during the year, and were found, for the most part, to be operating within the confines of the law, A current listing of those businesses holding check cashing licenses or registrations can be obtained by contacting the Department.
SALE OF CHECKS
In 1965, the Department of Banking and Finance began supervising companies which sell traveler's checks and money orders to the residents of Georgia. Regular examinations of the companies which are headquartered in Georgia are performed, and an off-site financial review is performed on those companies headquartered elsewhere. Georgia is the only state which has a stringent minimum capital requirement for these companies, At the end of the year, 24 companies having a total of 5,900 agents throughout the state were licensed to do business . There was one new license granted in 1994.
OTHER
The Department is charged with the responsibility of supervising the operations of various other companies engaged in or related to the financial services industry. Examinations of bank data processing centers and cooperatives are performed on a regular basis. Also, one business development corporation receives annual examinations by this Department. Fiduciary investment companies are also subject to our review and supervision, however, as of the end of 1994, there were none in operation in Georgia,
Loan Production Offices of In-State Banks
While the banks of Georgia are not allowed to establish de novo branches across county lines (except for the Fulton/DeKalb exemption), eight state-chartered banks in Georgia have established loan production offices outside of their normal trade areas. These offices have been established to provide lending services where deposit relationships cannot be accepted. With one exception, these offices are located in the northern part of the state.

Domestic Offices of Out-of-State Banks Holding companies and banks which are headquartered outside of Georgia continue to find expansion opportunities within this state. While not all of these businesses engage in offering financial services to Georgia residents, 41 companies of this nature have registered offices within Georgia. These offices offer a diverse range of services, such as mortgage lending, commercial lending, finance company operations, and retail sales.
GEORGIA DEPOSIT INSURANCE CORPORATION (GDIC) The GDIC was established through Title 7, Chapter 2 and is regulated by the Department. In 1991, the GDIC made the decision to discontinue its private deposit insurance for credit unions in the state of Georgia. Since that time, the privately insured state-chartered credit unions have become insured by the National Credit Union Share Insurance Fund. The GDIC is winding up its private deposit insurance functions in an orderly manner. The Department is monitoring this effort as regulator of the GDIC. Audited financial statements of the GDIC are available from the GDIC.
MISCELLANEOUS Receiverships and Liquidations As of the end of 1994, there remain two banks which have been closed in previous years, but are still in the process of liquidation. The Citizens Bank , Dallas, Georgia, was closed on January 10, 1992. Unpaid claims due to the FDIC total $15,546,773. Assets having an estimated value of $2,577,905 remain as of December 31, 1994, to be liquidated to cover these claims. The First Community Bank of Cherokee, Woodstock, Georgia was closed March 31, 1992, Unpaid claims due to the FDIC total $9,514,670. Assets having an estimated value of $3,258,511 remain as of December 31, 1994, to be liquidated to cover these claims. No additional banks were closed during 1994.
Name Reservations
During 1994, the Department received 29 applications to reserve names for banking institutions to be operated in Georgia. This year's current applicants for name reservations are listed in the Department's monthly bulletin.

MORTGAGE DIVISION SUMMARY OF ACTIVITIES
1994

During 1994, the Mortgage Division received 331 applications. With the 12 applications in process at the end of 1993 and the 32 applications for reinstatement, 375 applications were reviewed during the year. Of that total, 17 were denied, 7 were withdrawn and 14 were still in process at the end of the year.
Therefore, 337 licenses or registrations were issued by the Division. Also during the year, 4 expired, 68 were withdrawn, 53 were revoked, and 2 were suspended. This leaves 1,235 current licensees/registrants as of December 31, 1994.

The Division is charged with the responsibility of handling consumer complaints related to mortgages on residential property. Incoming telephone calls received by the Division are tabulated to determine the number of verbal consumer complaints. During 1994, the Division received 14,578 industry related calls, 1,246 of which were oral consumer complaints. Of the volume of verbal complaints received, approximately 33% follow-up the complaint in writing. During 1994, the Division received 570 written complaints with 6 complaints outstanding at the end of the year..
The Division fined 109 licensees/registrants for failure to submit the written 1994 Annual Report by the due date of April 1, 1995. These fines had to be paid before a renewal license could be issued.
Mortgage Division examiners conducted 314 examinations and 82 visitations of licensees. In addition, these examiners conducted 71 examinations of check coshers for the Corporate Division of the Department.
In 1994, 13 Cease and Desist Orders to both licensed and unlicensed persons or companies were issued and six Apparent Criminal Irregularity Reports were sent to local District Attorney offices.
