The Georgia Access to Medical Cannabis Commission ("GMCC" or the "Commission") has had a highly successful year working in partnership with our production licensees to bring access to patients. On April 28, 2023 safe, laboratory-tested medical cannabis became legally accessible to patientsforthefirsttimeinGeorgiawhenthestate'sfirsttwolicenseddispensaries,locatedinMacon and Marietta, openedtheirdoorsforbusiness.Inadditiontothishistoricmilestone,theCommission registered the state's first medical cannabis testing laboratory, promulgated rules, issued ten dispensinglicenses,andhasissuedallfourClass2productionlicenses.
This annual report fulfills the Commission's reporting obligations under Georgia's Hope Act which include: a) proposed legislative changes, b) low-THC oil production report, and c) minority- and women-owned business study. Also included inthereportisaprogramoverview,theCommission's collectionofrevenue(actualandprojected),andagencymilestones.

PROGRAMOVERVIEW
The Georgia Access to Medical Cannabis Commission conducted fifteen public meetingsinaccordance withtheOpenMeetingsActin2023.Commissionstaffalsoworkedcloselywithourgovernmentpartners including the Department of Public Health and the Georgia Board of Pharmacy in our efforts to fully implementtheprovisionsoftheHopeAct.Followingisaprogramoverviewoftheyear:
January5-6,2023:TheCommissionandproductionlicenseesparticipatedintheHouseCannabisWaste Study Committee to present and receive information. As requested bythecommitteechair,theHouse StudyReportwasconsideredfortheCommission'sproposedrules.
February 1, 2023: The Commission presented and provided copies of its annualreporttotheGeneral Assemblyoutliningmilestones,recentactivities,andlegislativerecommendations.
February 6, 2023: As required by Administrative Procedure Act ("APA"), the Commission issued notices of intent to promulgate its inaugural rules and regulations related to the production licenses, dispensinglicenses,independentlaboratories,seed-to-saletrackingsystems,andmore.TheCommission worked with the House and SenateMembersoftheMedicalCannabisOversightCommitteetodevelop recommendations for independent laboratory rules. The Commission also received feedback from laboratories, litigants (losing and winning applicants), production licensees and their in-house experts, state agencies in Georgia, medical cannabis programs in other states, the house study committee on cannabis waste, the Commission's oversight committee, and members of the national Cannabis RegulatorsAssociation("CANNRA").
March 8, 2023: As required by the APA and Open Meetings Act ("OMA"), the Commission held a publichearingtoreceivefeedbackonitsproposedrules.Expertsinlaboratorytestingandsafety,patient safety,andgovernmentoperationsprovidedcommentsduringthepublichearing.
March 15-16, 2023: As required by the APA and OMA, the Commission adopted the proposed rules that were publicly noticed on February 6, 2023. The next day, the Commission filed its rules with the OfficeofSecretaryofState.
April5,2023:TheCommission'srulesbecameeffective.
April6,2023:TheCommission(throughtheDepartmentofAdministrativeServices)publishedaRequest forQuotesforastatewideseed-to-saletrackingsystemvendor.

April14,2023:TheCommissionapprovedandregisteredthestate'sfirstindependentlaboratoryforthe testing of medical cannabis produced by GMCC licensed production facilities prior to distribution to dispensaries.
April 26, 2023: The Commission issued the state's first five dispensing licenses in the state for dispensarieslocatedinMacon,Marietta,andPooler.
April 28, 2023: Two licensed dispensaries, in Macon and Marietta, opened their doors for business, makinglab-testedmedicalcannabislegallyavailabletopatientsforthefirsttimeinGeorgia.
May24,2023:TheCommissionissuedthesixthdispensinglicenseinthestateforadispensarylocatedin Newnan.
June 23-27, 2023: For the Georgia Municipal Association's (GMA) Annual Convention, Commissionstaff presented a continuing legal education class to city attorneys' section on the laws and regulations of medicalcannabisinGeorgia.
August 8, 2023: For GMA's Cities Connect Webinar, Commissions staff presented an introduction and overview of Georgia's medical cannabis program, laws, and regulations, with emphasis on local governmentinvolvement.
August23,2023:TheCommissionissuedthreedispensinglicensesfordispensarieslocatedinChamblee, Stockbridge,andEvans.
September20,2023:TheCommissionrenewedboththeClass1productionlicenseswhichwereinitially issuedonSeptember21,2022.Productionlicensesarerequiredtoberenewedannually.
September 22, 2023: As required by the APA, the Commission issued notices of intent to amend existing rules and regulations to allow the Commission's licensees to work with pharmacies in making medicalcannabismoreaccessibleforpatientsacrossthestate.
November1,2023:AsrequiredbytheAPAandOMA,theCommissionheldapublichearingtoreceive feedbackonitsproposedruleamendments.
November 8, 2023: As required by the APA and OMA, the Commission adopted the proposed rule amendments that were publicly noticed onSeptember22,2023.Thenextday,theCommissionfiledits ruleswiththeOfficeofSecretaryofState.

November 15, 2023: As required by the OMA, the Commission conducted a public meeting and awardedfourprovisionalcontractsforfourClass2productionlicenses.Therewerenopendinglawsuits that prevented the Commission from issuing these provisional awards. Prior to the public meeting, a litigantfiledamotionforanemergencytemporaryrestrainingordertohalttheCommissionfrommaking suchcontractawards,andtheFultonCountySuperiorCourtdeniedthemotionandmadeclearthatthe Commissioncouldmoveforwardwiththeprovisionalcontracts. November29,2023:TheCommission'samendedrulesbecameeffective. December5-6,2023:ForCANNRAAnnualMemberConference,Commissionstaffservedaspanelists on topics including engaging local law enforcement, the involvement of pharmacies in the dispensing of medicalcannabisinGeorgia,andlegaltrendsandissues. December11,2023:TheCommissionpartneredwiththeStateBarofGeorgia'sCannabisandHempLaw Sectiontopresentacontinuinglegaleducation(CLE)creditedprogram. January 10, 2024: The Commission issued the tenth dispensing license in the state for a dispensary locatedinAugusta.

DISPENSINGLICENSES The Commission has issued ten (10) dispensing licenses as of January 2024. Georgia's Hope Act authorizes the Commission to issue five dispensing licensees to each Class 1 production licensee and each Class 2 production licensee for retail outlets to dispense low-THC oil and products to registered patients. The Act also authorizes the Commission to issue one additional dispensinglicensetoeachof those licensees when the Georgia Department of Public Health's Low-THC Oil Patient Registry reaches 25,000 patients and for every increase of10,000patientsthereafter.TheGeorgiaDepartmentofPublic Health reports thatthenumberofpatientswithan`Active'statusontheregistryis14,207asofJanuary 2024.

Productsafetytestingisparamounttoasuccessfulmedicalcannabisprogram. Toensurepatientshave accurately labeled products, every manufacturing batch goes through finished product testing, this is testing the product as it will be purchased bythepatient. RULES ANDREGULATIONS The Commission began promulgating its inaugural rules and regulations related to the production licenses, dispensing licenses, independent laboratories,andseed-to-saletrackingsystemsonFebruary6,2023which becameeffectiveApril5,2023:TheCommissionamendeditsrulesbeginningSeptember22,2023toallowthe Commission's licensees to work with pharmacies in making medical cannabis more accessible for patients across the state. On November 8, 2023 the Commission adopted the proposed rule amendments which becameeffectiveNovember29,2023.

OPERATIONS TheCommissionconductedfifteenpublicmeetingsinaccordancewiththeOpenMeetingsActin2023.All meeting summaries were made available on the `Meetings' page of the GMCC website within two business days andallmeetingminutesthathavebeenapprovedarealsopostedontheGMCCwebsite. TheCommissionoperatedwithsixstaffforthecalendaryear2023.
OUTREACH The Commission has engaged in community outreach and education with an emphasis on the governmentpartnersthatareanintegralpartofstandingupanewindustryinthestate.TheCommission focused on the importance of ensuring community partners receive the most up to date and factual informationregardingtheproductionandregulationofmedicalcannabis. TheCommissiondevelopeda training program to provide law enforcement officers with Peace Officers Standards and Training

("P.O.S.T.") continuing education hours and partnered with the Georgia Sheriff's Association, the Governor's Office of Highway Safety ("GOHS"), and local law enforcement agencies across the state to conducteleventrainingsessions.
The Commission also partnered with the State Bar of Georgia and the Georgia Municipal Association ("GMA") to provide training for local government officials and attorneys about the important role local governments play in providing access to patients through the localzoningandpermittingprocess.The Commission also participated in the Cannabis Regulators Association ("CANNRA") Annual Member Conference, where Commission staff served as panelists on topics including engaging local law enforcement,theinvolvementofpharmaciesinthedispensingofmedicalcannabis,andlegaltrendsand issues.TheCommissionwillcontinuetobuildpositiverelationshipswithcommunitypartnersthatinclude lawenforcementandmunicipaladministrators.

REVENUECOLLECTION
The Commission collected $620,000 in application, registration and license fees for FY23. The Commission projects total revenue collections for FY24 to be $1,815,000 through the collection of statutory license fees for Class 1 and Class 2 production licenses, dispensing license application and license fees, and independent laboratory registration fees. A projection of revenue collected for FY23-FY25maybefoundinExhibit2-FY23-FY25ProjectedRevenueCollectionofthisreport.
BUDGET
The Commission receives funding solely through appropriations. The Commission is not authorized to retain and utilize any fees it collects. All fees are remitted to the Treasury upon receipt; no funds are retainedbytheCommissionassetforthinstatute.ForFY24,theCommissionreceivedfundingneedsfor four staff positions, to regulate and oversee cannabis productionanddispensing,protectpublichealth andsafety,andensurethewell-beingofpatients.ForFY25,theCommissionprojectsabudgetrequestof $1,760,000(SeeExhibit1-FY25BudgetRequest)forstaffing,equipment,contractualservices,andsystems. LEGISLATIVERECOMMENDATIONS
The Georgia's Hope Act (O.C.G.A. 16-12-203(9)) requires the Commission to recommend legislative changes annually, if necessary.TheCommissionhasprovidedlegislativerecommendationsinExhibit4- Legislative Recommendations. These recommendations address the need for statutory authority to fingerprint applicants for dispensing licenses and other registrations. Additionally, proposed clean up languagehasbeenincludedandamendedtoensureconsistencythroughouttheAct.
DESIGNATEDUNIVERSITYPRODUCTIONREPORT
The Georgia's Hope Act (O.C.G.A. 16-12-204(c)(2)) requires the Commission to report low-THC oil production by Designated Universities to the Senate Health and Human Services Committee and the House Committee on Health and Human Services for the preceding calendar year. There were no Designated Universities producing low-THC oil, or that had required reporting items, for the calendar year2023.
MINORITY-ANDWOMEN-OWNEDBUSINESSSTUDY
Georgia's Hope Act (O.C.G.A. 16-12-214(c)(2)) requires the Commission to undertake a retrospective studyoftheparticipationofminorityandwomenownedbusinessesaslicenseesissuedunderPart2of theActeveryfouryears:2022,2026,2030,2034,2038,2042,etc. Asof2023,fiveofsix(83%)productionlicensesissuedbytheCommissionaretomajorityminority-owned businesses:
CLASS1PRODUCTION Ofthetwo(2)Class1ProductionLicenses,whichwereissuedonSeptember21,2022,one of the two (50%) Class 1 Production Licenses issued was to a woman-owned and minority-owned.
CLASS2PRODUCTION Ofthefour(4)Class2ProductionLicenses,whichwereissuedprovisionalcontractlicense awards on November 29, 2023, all four (100%) Class 2 Production Licenses issued are majorityminority-ownedbusinesses.

HISTORYANDPURPOSEOFTHECOMMISSION
The Georgia's Hope Act (O.C.G.A. 16-12-200 et seq., as amended), established the Georgia Access to Medical Cannabis Commission ("GMCC" or the "Commission") as the State of Georgia regulatory compliance agencytooverseethesecure,indoorcultivationandmanufacturingofmedicalcannabisfor thepurposeofproducinglow-THCoilandproductsforpatientsregisteredontheGeorgiaDepartmentof PublicHealth'sLow-THCOilPatientRegistry.SevenmembersareappointedtoserveontheCommission: The Chair and two members are appointed by the Governor, two members are appointed by the Lieutenant Governor, and two members are appointed by the Speaker of the House. TheCommission has one office location headquartered at 7 Martin Luther King Jr. Drive, Suite 146 in Atlanta, Georgia 30334.
The Commission regulates the growing of cannabis, product manufacturing, quality assurance, laboratory testing, seed-to-sale tracking, transportation, and dispensing. The Commission oversees licensing and registration of production facilities, dispensaries, independent testing laboratories, designated universities, and research universities. GMCC is responsible for the facility inspections, compliance, complaints investigations for its licenses and registrations. The Commission encourages active participation by minority, women, and veteran owned businesses andeconomicdevelopmentin Tier1andTier2counties.

GMCCdeterminedthattheissuanceofsuchprovisionalcontractawardsfurtherstheobjectivesandpurposes oftheHopeAct,providingpatientswithmeaningfulopportunitiestolocallyaccesslow-THCoilandproductsas recommendedandapprovedbytheirphysiciansformedicaltreatmentandmedicalrelief.Theissuanceofsuch provisional contract awards was made pursuant to Paragraph 13 of the RFP Application Instructions which stated,inpart,thefollowing:"Theprimaryintentofthisapplicationistoidentifyfour(4)sourcestoprovideallof theneededgoodsand/orservicesforClass2LowTHCOilproduction;however,GMCCreservestherightto makeprovisionalawardsatitsdiscretion."SuchpartoftheRFPprocesslanguagewasnotchallengedbyany applicantduringthepre-awardprotestperiodoftheRFP,andasprovidedforintheproceduresofsuchprotest period, "[a]ny protest or issue that could have been raised during the Pre-Award Protest stage but was not raisedshallbewaived."
The information below provides a general overview and timeline of lawsuits related totheRFPandClass2 applicants, all of which may be accessed andfoundthroughtherespectivecourts'filingsystemsorrecords. The number of lawsuits that may continue to be filed, voluntarily dismissed, refiled, or decided and/or dismissed by a court of competent jurisdiction is uncertain however, the need for low-THC oil and productsasmedicaltreatmentandreliefforpatientsinGeorgiaiscertain.
Over two years ago on July 24, 2021 GMCC announced and published a Notice of Intent to Award contractsforClass2productionlicensuretothesuccessfulapplicants("NOIA").Fourteenoutoftheforty-four

apparent unsuccessful applicants ("protestors") filed post-award protests to the NOIA. The Office of State Administrative Hearings ("OSAH") conducted hearings for such protests and issued final decisions, each in favoroftheGMCC'sdecisionsreflectedintheNOIA.
Inthepastfifteenmonths,nineofthefourteenClass2productionlicenseprotestorsseparatelyand/orjointly filed approximately thirty-one lawsuits ("litigants"), including: cases that the litigants voluntarily dismissed monthsafterfiling,casesrefiledbylitigantsseveralmonthsaftervoluntarilydismissingsuchcases,andcases thatweredecidedand/ordismissedbyjudgesofvariouscourtsinGeorgia.TheselawsuitsregardingClass2 productionlicensecontractshavebeenfiledatdifferenttimes,indifferentcounties,andindifferentcourts.
FinalDecisionsIssuedbyOSAH:
On September 16, 2022, OSAH issuedthefinaldecisionsonthepost-awardproteststotheNOIA,in whichtheadministrativelawjudgedeniedallrequestedreliefandupheldtheGMCC'sdecisions.
OnSeptember21,2022,GMCCpublishedanOfficialReportofFinalDecisionsreflectingthefindingsof suchOSAHfinaldecisionswhichhaveremainedunchangedandthesamesincethatdate.
AsofthedateofthisNoticeofProvisionalAward,suchfinaldecisionsstillstand.
AppealsofFinalDecisionsundertheGeorgiaAdministrativeProcedureAct(APA):
On September 21, 2022, GMCC conductedadulynoticedpublicmeetingtoissuenoticesofcontract awardsforClass1andClass2productionlicenses.
Onsuchdayandafewdaysafter,sevenoftheninelitigantsfiledappealsundertheAPAbefore superiorcourtsinvariouscountiesacrossthestate.Withoutnoticesandhearings,"stays"were issued by various superior courtjudgestopreventtheGMCCfromissuingClass2production licensecontractstothefour(apparent)successfulapplicants.
TheremainingtwooftheninelitigantsfiledAPAappealsweekslater,totalingnineAPAcases.
By October 20, 2022, all "stays" were lifted by the respective superior court judges. Also duringthis month,sixofthenineAPAcasesweredismissed.
Ayearlater,inOctoberof2023,twoadditionalAPAcasesweredismissed.
As of the date of this Notice of Provisional Award, there is only one APA case involving Class 2 production licenses. On October 12, 2023, the Georgia Court of Appeals decided that the judicial reviewprovisionoftheAPAdoesnotapplyandthepreviouslydismissedAPAcasesmentionedabove wereproperlydismissed.
AppealsofFinalDecisionsundertheCertiorariProcesstotheSuperiorCourt:
InOctoberof2022,fivelitigantsfiledcertioraricasesinFultonCountySuperiorCourt.
About three months after such filing, in January of 2023, four of such five litigantsvoluntarily dismissedtheircaseswithoutprejudice(i.e.abilitytorefilethecasewithinacertaintimeframe),
About ten months after such filing, in August of2023,thefifthlitigantvoluntarilydismissedits case,withoutprejudice,oneweekbeforeascheduledhearingonthemerits.
In July of 2023, the four litigantsthatvoluntarilydismissedtheircertioraricases(inJanuaryof2023), refiledtheircases.
InOctoberof2023,aFultonCountySuperiorCourtjudgedismissedwithprejudicetwoofthefoursuch refiledcases.
AsofthedateofthisNoticeofProvisionalAward,thereareonlytwocertioraricasesinvolvingClass2 production licenses. While both cases have hearings scheduledinDecemberof2023,therespective litigantshavefiledmotionstocontinuesuchhearings. GeorgiaAccesstoMedicalCannabisCommission-2024ANNUALREPORT Page19
JudicialReviewofDismissedAPACasestotheGeorgiaCourtofAppeals:
In October and November of 2022, six litigants filed applications for discretionary review with the Georgia Court of Appeals, to appeal the dismissal of their APA cases. All six applications were acceptedbytheCourt.
In October of 2023, the Court issued its decision in the appeals and affirmed the superior court dismissals of the APA cases,determiningthatthejudicialreviewprovisionoftheAPAdoesnotapply andthattheAPAcaseswereproperlydismissed.
ThreeofthelitigantsfiledaMotionforReconsiderationtotheCourt.
In November of 2023, the Court denied all three Motions for Reconsideration, upholding the original ruling that the judicial review provision of the APA does not apply andthatthecases wereproperlydismissed.Someoftheselitigantshaveindicatedinrecentcourtfilingsthatthey will appeal this decision to the Georgia Supreme Court, and as a result, have requested continuancesinotherpendinglitigationreferencedabove.
AdditionalLawsuitsfromClass2Litigants:
InFebruaryof2023,sevenlitigantsjointlyfiledalawsuitinFultonCountySuperiorCourt.
Thelawsuitincludedallegationssimilartothosefiledinpreviouslawsuitsmentionedabove.
Aboutfourmonthslater,inJuneof2023,thesevenlitigantsvoluntarilydismissedthiscase.
In October of 2023, two of the seven litigants who dismissed their jointlyfiledFebruary2023lawsuit thenjointlyfiledalawsuitinFultonCountySuperiorCourt.Thefilingsforthislawsuitindicatethenew caseisrelatedtotheirFebruary2023casethatwasvoluntarilydismissed.
AsdeterminedandstatedbytheGeorgiaGeneralAssemblyinthepreambleoftheHopeAct,"[T]housandsof Georgians have serious medicalconditionsthatcanbeimprovedbythemedicallyapproveduseofcannabis andthatthelawshouldnotstandbetweenthemandtreatmentnecessaryforlifeandhealth."Thepurposeof the Hope Act has been frustrated bylitigationasoutlinedabove.Itisunforeseeablewhenallofthelitigation and appeals may end. Regardless of the number of lawsuitsfilednoworinthefuture,itisthepatientswith medicalconditionssuchascancer,seizuredisorders,Parkinson'sdisease,andautismspectrumdisorder andtheirlovedoneswhohavetoendurethepainofnotbeingabletoaccessmedicalreliefwhentheyneedit themost.
In the last year during litigation, GMCC promulgated and amended rules to regulate the safe production, manufacturing,packagingandlabeling,andindependentlaboratorytestingoflow-THCoilandproducts.These regulations ensure that all Class 1 and Class 2 production licensees including those with provisional contracts provide patientswithmedicalreliefthatissafeandreliable.GMCCplaysacriticalroleinmaking low-THC oil and products accessible to patients throughout the state. With the statutory and regulatory framework and safeguards in place, GMCC's issuance of provisionalcontractawardsforClass2production licensureisnotonlyconsistentwiththetermsoftheRFPandthepurposesoftheHopeAct,itisnecessary.
In recognizing the current civil appeals processes as outlined above, each provisional contract award was made with the following conditions: A provisional contract shall automatically terminate if (1) a court of competentjurisdictionentersafinaldecisionorfinalorderthat(a)theContractisvoidor(b)afterthefulland final conclusion of any pending post-award protest of the Commission's previously issued NOIA, a courtof competentjurisdictionhasheldthattheLicenseeisnotentitledtoreceiveacontractforaClass2production licensepursuanttotheRFP;and(2)allappealsofsuchdecisionororderhaveeitheraffirmedthedecision,or haveexpiredorotherwiseterminated.
