to serve you better
Two great pioneer airlines now are one. Delta,
with 24 years of experience in serving the South
and linking it with the Midwest, joins with
Chicago & Southern which has served the Mis-
sissippi Valley for 19 years and also ties Mid-
America to the West Indies and South America.
This merger is one of top management and
line personnel, as well as routes, and the public
will gain from the combination of talent and
faoilities. Approved by the Civil Aeronautics
Board and the President of the United States,
it has now been ratified by the stockholders of
each line. Operation as one company, Delta-C&S
Air Lines, is now in effect. For the immediate
present, however, flight schedules will be unaf-
fected on both systems.
On the basis of current passenger-mile figures,
the new company will be the fifth largest domes-
tic airline, serving nearly 25,000,000 people
directly in 55 U. S. metropolitan areas and
20,000,000 more in 6 Caribbean countries.
The merged airline intends to maintain the
reputations earned by the two individual com-
panies for friendly, hospitable service with mod-
ern, luxurious equipment.

Numerous Benefits Derived from Merger;
Officers Were Pioneers in Air Transport
The merger of Delta and C&S brings to-
gether two pioneer airlines which developed
in the South under the leadership of the men
who now head them. Carleton Putnam, chair-
man of the board of C&S, is board chair-
man of Delta-C&S; C. E. Woolman, presi-
dent and general manager of Delta, holds
the same position with the combined com-
pany. The executive vice-president is S. A.
Stewart, former president of C&S.
Putnam

After graduation, he
journeyed abroad, work-
ed in a New York law
office, took a year at the
Harvard Law School,
and spent a few years
working in New York
politics before com-
pleting his LL.B. de-
gree at Columbia.
It was this young law student who was
walking down a street in New York one day,
saw an airplane in a show window, went in
and bought it and arranged for flying les-
sons. The lessons were in the form of a cross-
country flight, and by the time he had
reached California, Putnam had decided to
try his hand in the field of air transportation.
In 1933 he organized Pacific Seaboard Air
Lines, Inc., between San Francisco and Los
Angeles, later shifted operations to the
~ississippi Valley in 1934 and re-organized
under the name Chicago & Southern.
Putnam's book, "High Journey," published
by Charles Scribner's Sons, is a history of
the infant years of this venture. Putnam
now resides in Washington, D. C.
Woolman

and while still in col-
lege he took advantage
of his summer vacation
to attend the first
world's aviation meet
in Rheims, France, in
1910. Coming back
across the Atlantic,
after b i c y c 1 i n g i n
France, young Wool-
man worked with Grahame-White and his
mechanic in the hold of the ship as they
overhauled a rotary engine to prepare for
America's first big meet in Boston in 1910.
Aviation was thrilJing, but it still was an
uncertain field, so Woolman worked in the
Extension Department of Louisiana State
University for several years, a position which
was to bring him right back into aviation.
Crude attempts had been made to dust crops
by airplane to control such pests as the cot-
ton boll weevil, but it remained for Woolman
and a few associates to develop a satisfactory
technique and to organize the first com-
mercial airplane crop dusting company, Huff
Daland Dusters, in 1925, at Monroe, Louisi-
ana. In 1929 Woolman inaugurated passenger
service from Dallas to Atlanta, over what is
now part of Delta's extensive system, but the
dusting division is still a flourishing part of
the airline.
Stewart

where he was vice-
president and also gen-
eral manager of the
Hamilton Standard
Propeller Division.
He was a Naval pilot
in World War I, and
has a private pilot's license. He has been
with C&S since 1946; president since 1948.
Improved Service
The merger will make possible several
important new routings, such as Dallas-
Chicago, Houston-Atlanta, Dallas-Detroit, and
Dallas-Havana. ew and additional through-
plane service will be increased as rapidly as
deliveries of new equipment permit. Other
services, short cuts, and consolidation of
routes, will require additional CAB authority.
The combined company has a network of
61 cities and ranks fifth among the airlines
of the United States, in passenger miles
flown. Headquarters and principal shops are
in Atlanta, with many maintenance func-
tions continuing in Memphis as well.
Same Employees
You'll continue to see the same old friends
with whom you dealt prior to the merger.
Flight crews will keep essentially their same
runs, and ticket office assignments will be
practically the same.
Forces will be joined in the cities former-
ly served by both Delta and C&S. In Chicago,
Delta and C&S are used to working side by
side on East Monroe Street, and plans for
improved and combined ticket and reserva-
tions offices are underway.
In Jackson, instead of operating independ-
ently from the Delta office in the Edwards
Hotel and the C&S office in the Heidelberg
Hotel, a joint ticket office is being staffed
in the Edwards.
In New Orleans, Delta-C&S will continue
to operate from two ticket offices: one in the
St. Charles Hotel and the other in the lobby
of the Roosevelt.
In Shreveport both airlines have been
operating out of lobby offices in the Captain
Shreve Hotel, but a new combined City
Ticket Office is now under construction in
the same hotel and should be ready for oc-
cupancy about July 1.

Fina ncial Details
C&S stockholders will receive $10,695,846
of Delta debentures for the 509,326 shares
of C&S stock outstanding. The debentures
bear an interest rate of 5 per cent per year
and will mature 20 years from date of issue.
For each share of C&S stock, the stock-
holder will receive approximately $21 worth
of debentures. Under the conversion privi-
lege, the debentures can then be e:iochanged
( at the option of the holder) for Delta com-
mon stock at the rate of one share of Delta
stock for each $35 of debentures.
Changes in the market value of Delta
common stock will have no effect upon the
$35 conversion rate. If the market value of
Delta stock increases to $50 a share, for
example, the holder of the debentures can
still acquire one share of Delta stock for $35
worth of debentures.
The combined company will be strong
financially, operating without subsidy.
The Civil Aeronautics Board demonstrated
great speed and efficiency in handling the
complexities of the Delta-C&S merger agree-
ment. The entire case, involving thousands
of pages of testimonies, was completed in
approximately a year's time.
Important steps were as follows:
Terms were first filed with the CAB on
April 28, 1952, and conference and hearings
were conducted during the summer. The
Bureau Counsel recommended on September
24 that the merger be approved, followed on
OYember 13 by approval Examiner.
The CAB handed down its approval on the
last day of the year, with the necessary
White House concurrence on the proposed
transfer of the international routes of C&S.
The agreement was voted on by stockholders
of both companies on April 22, 1953, and
the remaining legal steps were completed
rapidly thereafter.
Wide Choice of Airliners
Delta-C&S gives you a wide range of
modern aircraft including the 56-passen-
i;!er DC-6's; 57-passenger Constellations:
44-passenger Super Convair 340's; and
25-passenger DC-3s. All seats are ar-
ranged in pairs.
The combined company will continue
the policy of friendly service which char-
acterized the individual airlines. Stewarrl-
esses will serve you aboard flights as in
the past.
You've been flying the Sixes, Threes,
and Constellations for some time, and for
the past several months you've been get-
ting acquainted with the Convair 340 on
Delta's routes. Both Delta and C&S have
on order 10 Convair 340's, which will give
the combined company a total of 20 when
all deliveries are made.
The company hasn't stopped here.
Starting in February, 1954, Delta-C&S
will receive a fleet of DC-7's, the fastest
airplane short of jets. Cruising speed is
362 miles per hour.
