Introduction
The Nonpublic Postsecondary Education Commission (NPEC/the Commission) was established by the passage of the Nonpublic Postsecondary Educational Institutions Act of 1990 by the Georgia General Assembly. The agency staff began operations on April 10, 1991, and the first Board of Commissioners were appointed by the Governor in 1992. Prior to the creation of NPEC, the Georgia Department of Education was responsible for regulating non-degree granting institutions (under the Proprietary School Act) and degree granting institutions (under the Postsecondary Educational Authorization Act). The Nonpublic Postsecondary Educational Institutions Act of 1990 repealed these earlier statutes and consolidated regulatory authority within the Commission. As of 2015, NPEC is the agency that houses the Georgia Authorization Reciprocity Agreement (GASARA). This program is part of a national interstate compact that allows public and private colleges and universities the ability to offer online programming to students across the country without incurring additional authorization fees in other states. The NPEC office is in Tucker in the Georgia Student Finance Commission building. The Nonpublic Postsecondary Education Commission is attached to the Georgia Student Finance Commission for administrative purposes only.

Board of Commissioners
Pursuant to O.C.G.A. 20-3-250.4, the Board of Commissioners is comprised of eleven (11) members appointed by the Governor and confirmed by the Senate. Currently, there are ten sitting commissioners and one vacant commission seat. The members are appointed for three-year terms of office and may serve two terms consecutively. The 1990 Act specifies the Commission must include a member appointed to represent each of the following: a degree-granting institution, a nondegreegranting institution, and an exempt institution. The Commission is required to meet at least quarterly or at the call of the chair. During Fiscal Year 2020, the Commission met five (5) times.
Mollie Cohen, Chair, At-Large Post #2 Cohen is a founding partner of Pecan Ridge Plantation, where she serves as the director of marketing and sales. She also has more than 10 years of experience as an educator. Cohen is a graduate of Leadership Georgia and previously served as a program chair. She is a member of the Grady County Historical Society, the Grady County Archway and the Whigham Volunteer Council. Cohen is a Grady County 4-H adult leader and volunteers with Brookwood School, South Georgia Ballet and Tired Creek Church. Cohen earned a bachelor's degree in Education from the University of Georgia. She and her husband, Eric, have two children and live in Whigham.
Karen Gilbert, Vice-Chair, Representing an Exempt Institution Gilbert is the associate vice president for human resources at Agnes Scott College. She has more than 35 years of experience in human resources as a human resources generalist and as an employment director in the retail and technology industries. Gilbert was previously the chapter secretary of the Georgia College and University Professional Association for Human Resources. She is a member of the National College and University Professional Association for Human Resources and the Society for Human Resources Management. Gilbert earned a bachelor's degree from Auburn University and holds a senior professional in Human Resources designation and a certified professional designation from the Society for Human Resources Managers. Gilbert has two children and resides in Jonesboro.
Toby R. Hinton, Secretary, Representing a Degree-Granting Institution Hinton is the vice president of financial services at Brenau University. He is a member of the National Association of College and University Business Officers and the American Institute of Certified Public Accountants. Hinton earned a bachelor's degree in Accounting and Business Administration from Presbyterian College. He is licensed as a certified public accountant. Hinton and his wife, Suzanne, have two children and live in Suwanee.
Ryan Blythe, Representing a Nondegree-Granting/Certificate Institution Blythe is the founder of the Georgia Trade School. He was previously a member of the Go Build Georgia Advisory Council and sat on the boards of the Kennesaw Business Association and the Construction Education Foundation of Georgia. Blythe is a graduate of Oglethorpe University. He has one child and lives in Smyrna.
Victoria Agyekum, At-Large Post #1 Agyekum is a co-founder of Dominion Health Care Solutions, a proprietary school that provides training in nurses' aide, patient care and phlebotomy. She was previously the director of the nursing program at Savannah Technical College. Agyekum earned a master's degree in Nursing from the Medical College of Georgia. She has three children and four grandchildren. Agyekum resides in Savannah.

Robert Lee Todd IV, At-Large Post #3 Todd is a general practice attorney in Greenville. He has more than 25 years of experience as local counsel to the Meriwether County School District. Todd is a member of the Meriwether County Department of Public Safety and a former adjunct instructor of Business Law at LaGrange College. He previously served as a station chief for the Meriwether County Volunteer Fire Department and as the chief of the City of Greenville Volunteer Fire Department. Todd earned a bachelor's degree from Emory University and a law degree from the Cumberland School of Law at Samford University. He and his wife, Martha Ann, have two children and two grandchildren. They live in Greenville.
Amanda B. Shailendra, At-Large Post #4 Shailendra is the local partner manager for Google Fiber in Atlanta. She previously worked in economic development for the City of Atlanta and the State of Georgia, where she supported projects for Mercedes-Benz, KIA Motors, athenahealth and AT&T Mobility. Shailendra sits on the board of directors for the Georgia Department of Economic Development and Dad's Garage Theatre Company. She is also a member of the honorary board for the Atlanta Ballet. Shailendra earned a bachelor's degree from Wake Forest University and a master's degree from Georgia Tech. She and her husband, Paul, have two children and reside in Atlanta.
Holly C. Kirbo, At-Large Post #5 Kirbo is an attorney. She previously worked as associate general counsel for Flowers Foods. Kirbo is a published author and a member of the State Bar of Georgia. She is also a member of the committee overseeing her local YMCA gymnastics team. Kirbo earned a bachelor's degree in Business Administration and a law degree from the University of Georgia. She and her husband, Cliff, have three children and reside in Moultrie.
Norma Nunez-Cortes, At-Large Post #6 Nunez-Cortes is the Title I Federal Program Director for the Appling County Board of Education. She is a former president and current vice chair of the Baxley-Appling County Chamber of Commerce. NunezCortes is a member of the Heart of Georgia Altamaha Regional Commission, the Appling County Hospital Authority and the Appling County Family Connection Collaborative. She is also a member of the Lions Club International, Kiwanis International, the Appling County Board of Health and Telamon HSEAC. Nunez-Cortes earned a bachelor's degree in Criminal Justice and a master's degree in School Counseling from Georgia Southern University. She also earned a specialist degree in Educational Administration and Supervision from Lincoln Memorial University. Nunez-Cortes is a graduate of the Georgia Academy for Economic Development. She and her husband, Juan, have two children and live in Baxley.
Dr. Arthur D. Vaughn, At-Large Post #7 Vaughn is an associate vice president for business and finance at Morehouse College. He sits on the board for the March of Dimes of Atlanta and North Central Georgia. Vaughn also sits on the Northwest Atlanta advisory board for BB&T. He earned a bachelor's degree in Economics from Syracuse University, a master's degree in Public Administration from Clark Atlanta University, a master's degree in Accounting from Southern Polytechnic State University and a doctoral degree in Higher Education Management from the Institute of Higher Education at the University of Georgia. Vaughn and his wife, Octavia, have three children and reside in Marietta.

Tuition Guaranty Trust Fund Board of Trustees
Pursuant to O.C.G.A. 20-3-250.27(b)(2), the Board of Trustees, who administers the Tuition Guaranty Trust Fund, is comprised of five (5) members of the commission designated by majority vote of the commission, where at least two members, by June 30, 2020, shall represent postsecondary educational institutions. The five members of the commission who are selected serve one-year terms. The commission appoints one of the members as chairman of the Board of Trustees. The executive director serves as executive director and secretary of the Board of Trustees. Three members of the board constitutes a quorum and meets quarterly or at the call of the chairman. During Fiscal Year 2020, the Board of Trustees met five (5) times, prior to each of the Quarterly Commission meetings and one Special Called meeting.

O.C.G.A. 20-3-250.4(e) requires the Commission to meet at least four (4) times each fiscal year in order to administer its duties. Topics of discussion include:

Comments from the Executive Director
The Nonpublic Postsecondary Education Commission (NPEC) provides a service to Georgia's citizens by authorizing and regulating the operations of for-profit and not-for-profit private postsecondary institutions. Additionally, it is responsible for oversight of out-of-state public and private institutions that choose to operate in Georgia.
In Fiscal Year 2020, guided by a new Strategic Plan, NPEC focused on quality improvement initiatives through specialization of staff positions, particularly the creation of a Program Manager position that manages and answers all student complaints, institutional closures, and agency investigations. Previously, these roles were spread among six Regulatory Specialists and the Deputy Director. The agency also instituted an e-commerce initiative in November 2019, allowing NPEC to accept online payments from students for transcript requests, and, by April 2020, all institutional payments for the first time in the agency's history.
This year was also unique given the arrival of the COVID-19 pandemic in March 2020. Most agency staff have worked remotely since March 2020. Even given these changes and obstacles, staff helped to achieve and even exceed many measurable objectives set forth in the agency's Strategic Plan, while at the same time providing exceptional customer service in a remote setting. Our agency helped Georgia to lead the nation during the pandemic as staff leveraged technology to conduct institutional site visits during the height of the pandemic to ensure that institutions could continue to operate and that bureaucratic red-tape would not stand in the way of economic opportunity.
NPEC is committed to ensuring that each nonpublic postsecondary educational institution in Georgia is satisfying its commitment to hardworking Georgians by offering sound academics and maintaining financial stability. NPEC is accomplishing this by working to improve the business environment in the state by streamlining the authorization process required of postsecondary institutions and reducing the regulatory burdens on institutions. Through process improvement efforts, NPEC is putting Georgians first by concentrating on quality improvement and working to be consistent, fair, and as effective as possible. The agency continues to work towards that goal by improving internal procedures, agency policies, and agency legislation to improve operations and provide better customer service. As such, agency leadership is further exploring the possibility of being a leader in state government by finding ways to make remote work permanent in an effort to save Georgia taxpayers money by reducing real estate expenses all the while maintaining high standards of customer service and interaction.

Organization
This agency administers the Nonpublic Postsecondary Educational Institutions Act of 1990 by providing ongoing assessment and evaluation of private postsecondary institutions operating in the state. Oversight is achieved through review and processing of institutional applications and inspection of in-state physical facilities, investigation of student complaints, and facilitation of institutional closures and the resulting surrendered student records. Additionally, staff regularly propose new or revised policies and procedures in the aim of enhancing Commission operation and effectiveness, reducing regulatory burdens on institutions while balancing student interests, and consumer advocacy.

The agency's mission is to ensure that each authorized nonpublic postsecondary educational institution in Georgia is satisfying its commitments to hardworking Georgians through sound academics and financial stability.

The vision of the agency is to promote excellence, efficiency, and systematic improvement in the regulation of nonpublic postsecondary educational institutions to ensure quality education for improving the workforce in Georgia and the lives of Georgia's citizens.

Activities

Regulatory Compliance
O.C.G.A. 20-3-250.8 requires each nonpublic postsecondary educational institution desiring to operate or conduct postsecondary activities in Georgia to file an application for authorization. To ensure application of the law governing this agency and its associated institutions, regulatory compliance is central to NPEC operations. This is achieved through the authorization process, which includes application review and critique, curriculum evaluation, complaint mediation, and, for in-state institutions, annual campus visits. Curriculum evaluation occurs when an institution proposes a new or modified program. This process may require the formation of a committee, made up of an expert or team of experts who specialize in the field of instruction of the proposed program, who will offer a recommendation to NPEC as to its quality. All compliance activities are reviewed by multiple NPEC professional staff persons for accuracy, consistency, and adequacy and then are recorded electronically in a customized agency database. This permits easy and secure access to all relevant institutional documentation associated with NPEC oversight. Authorization differs from accreditation in that accreditation is a voluntary process in which educational institutions of higher learning are evaluated by a peer review board whose members include faculty from various accredited colleges and universities. Whereas NPEC is the state's arm in regulating postsecondary education, recognized accreditors are granted authority by the United States Department of Education to accredit institutions, which will in turn qualify to receive federal financial aid.
Additionally, certain institutions are exempted from seeking authorization; alternatively, those institutions seek a Notice of Exemption, the details about which are expanded upon in the section titled Postsecondary Institutions Exempted from Authorization.

Academic Record Keeping

NPEC requires that authorized institutions maintain student academic records in a prescribed format. This not only allows for consistent student access but also supports the transfer of student records to the agency with a minimum of difficulty in the event the institution closes. O.C.G.A. 20-3-250.17 mandates such transfer to the state/NPEC, and institutions are required to provide a signed Record Agreement annually as part of the Renewal of Authorization Application. In addition to stipulations associated with closure, this document also provides requirements for ongoing record maintenance while the institution is in operation. With regards to academic records of closed institutions previously authorized by NPEC, the Commission is responsible for fielding transcript requests from students and/or approved representatives. While inquiries are made through an electronic form available on the NPEC website, 2,622 boxes of student records from closed institutions are stored at the State Records Center. As of June 30, 2020, through a new effort to digitize the stored records to reduce administrative costs and transcript response times, the number of boxes stored at the State Records Center has been reduced by 348 boxes since June 30. 2019. One NPEC staff member is assigned the responsibility of processing transcript requests, which number in the hundreds annually.

Institutional Closures
In Fiscal Year 2020, twenty-three (23) NPEC authorized institutions closed. During closings, NPEC staff typically work with the institution's representatives, students, and other institutions to provide students with the opportunity to complete their programs of study either at the closing institution or at another institution. Student academic records were sought upon receipt of notification of each closure. To provide student access, records were then either transferred to the State Records Center or to other active campuses of the closed institution. When an institution or campus ceases operations, it is considered to be an institutional closure and pursuant to O.C.G.A. 20-3-250.17, institutions are required to provide academic records to NPEC.

Student Complaints
To provide consumer protection, O.C.G.A. 20-3-250.5(c)(5) & 20-3-250.3(a)(7), (10), (11), (14) provides NPEC with the lawful responsibility to investigate complaints filed against institutions. NPEC requires that complaint policies of authorized institutions include a student's right to appeal an institution's final determination with NPEC. Complaints are submitted electronically on the NPEC website, and a full investigation is completed by the NPEC staff person responsible for the compliance review of the institution. This process involves consultation with appropriate institution officials upon receipt of a complaint and visitation to institutions, as needed. NPEC regards the prompt resolution of complaints from students as a high priority of the agency. In addition to formal complaints, NPEC responds to all inquiries and concerns made by students regarding the institution at which they are enrolled. In Fiscal Year 2020, NPEC investigated seventy-five (75) student complaints.

SARA State Portal Entity The State of Georgia became a member of the National Council for State Authorization Reciprocity Agreements (NC-SARA) in October 2015. As the state coordinating "portal" agency, NPEC assures that institutions which are SARA-approved in their own states follow NC-SARA policy in providing on-line programming to residents of Georgia. NPEC reviews applications from Georgia institutions wanting to become SARA-approved by the state so that those institutions may offer online programming to residents of other states. NPEC also serves as the agent for complaints filed relative to Georgia-SARA approved institutions and facilitates the resolution of complaints filed by Georgia residents relative to out-of-state institutions.
During Fiscal Year 2020, a total of seventy-eight (78) Georgia institutions were SARA-approved through NPEC action and became institutional members of NC-SARA. Of these, twenty-six (26) were University System of Georgia institutions, twenty-two (22) were Technical College System of Georgia institutions, and thirty (30) were Georgia nonpublic degree granting accredited institutions.
The most recent data available (2018-2019 school year) shows that 67,439 in-state students took online courses at an institution participating in SARA and an additional 47,785 out-of-state students took online courses at a Georgia institution participating in SARA.
In FY20, the Commission raised the participation fee for Georgia institutions participating in GA-SARA. Even with the increase in fees, GA-SARA institutions paid the lowest fees at all full-time equivalent (FTE) student counts of any state in the immediate states that border Georgia. Additionally, in 2018, the National Center for Higher Education Management Systems conducted a return-on-investment study that estimated that colleges and universities in Georgia saved $7.7 million for initial authorization and save $2.2 million annually on renewals. By contrast, in FY20, the seventy-four (74) Georgia institutions participating in GASARA paid a combined $340,500 in fees to participate--$98,500 to GA-SARA and $242,000 to NC-SARA.

Appropriations and Revenue Collections
NPEC is a revenue generating agency primarily resulting from fee collections required as part of institutional applications for annual authorization, which are based on tuition received by an institution during its most recently completed fiscal year or, in the case of initial authorizations, projections for the first year of authorization. In addition, other fees are based on specific services performed by NPEC such as approval of a change of ownership, evaluation of proposed new programs and updates to administrative records. Fees are also collected for transcript requests, as part of applications for exemption, as well as for financial viability assessments. Revenue collections for Fiscal Year 2020 were $1,287,814. Additionally, NPEC collects funds from select institutions for the Tuition Guaranty Trust Fund that are maintained by the agency for student's adversely affected by precipitous closures. These collections are detailed in another area of this report (starting on p. 31). NPEC's state appropriation for its Fiscal Year 2020 annual operating budget was $1,008,654. No federal funds are received. However, in August 2020, all state agencies were instructed to provide an Amended Fiscal Year 2020 budget request proposal reflecting cuts due to lower revenue projections. NPEC's state appropriation for its Amended Fiscal Year 2020 annual operating budget was $938,893, a reduction of 6.92%.

Postsecondary Institutions Exempted from Authorization
Pursuant to O.C.G.A. 20-3-250.3, certain postsecondary educational institutions are not subject to the Nonpublic Postsecondary Educational Institutions Act of 1990; therefore, they are excluded from NPEC authorization (i.e., "exempt").
Under O.C.G.A. 20-3-250.3(a)(4), all state operated higher education institutions are exempt from NPEC authorization as are the thirty-seven (37) independent private colleges and universities [O.C.G.A. 20-3250.3(a)(10), (11), (13) and (14)].
Under O.C.G.A. 20-3-250.3(a)(4), institutions that are regulated by other state agencies are exempt from authorization, such as those regulated by licensing boards under the Georgia Secretary of State or Board of Nursing. Some examples include cosmetology, select nursing programs, barbering, truck driving, and real estate institutions.
Under O.C.G.A. 20-3-250.3(a)(6), eighty (80) religious institutions are exempt from NPEC authorization. Annually, each religious institution must demonstrate to NPEC that the institution grants only religious degrees and/or certificates; does not receive federal or state funds; and does not accept students using federal or state loans to attend.
Additionally, as set forth by O.C.G.A. 20-3-250.3(a), NPEC exempts numerous "other" institutions that meet the exemption criteria that include education solely avocational or recreational in nature, flight training schools approved by the Federal Aviation Administration, test and tax preparation, institutions on military installments solely for the education of military personnel and their dependents, and education sponsored by a trade, business, or fraternal organization solely for that organization's membership.

Site Visit Reports

Pursuant to O.C.G.A. 20-3-250.8(c), NPEC is responsible for in-state "on-site inspections of the physical facility in which the institution will be operating.". In accordance with O.C.G.A. 20-3-250.8(g), such on-site inspections are also required for Renewal of Authorization applications. Additionally, NPEC completes other visits as deemed necessary by staff for purposes of ensuring compliance with the Minimum Standards. In FY20, 212 site visits were conducted. Due to the unprecedented COVID-19 pandemic in FY20, a special dispensation was given to NPEC from March 17 June 15, 2020 to allow for virtual site visits. However, since June 16, 2020, NPEC employees have conducted all site visits in person.

ADVERSE ACTIONS
NPEC is responsible for ensuring compliance with applicable state laws and associated policies and procedures. As such, adverse actions are the official activities completed by the agency when an institution fails to comply with key directives, such as requiring Authorization, taking down programmatic advertisements, and surrendering student records.
A common adverse action is the notification to an institution that it is operating without Authorization. This is communicated with a cease and desist email that is sent by the Program Manager- Compliance to the email of record. Information detailing the Authorization process as well as agency contacts are also provided. In FY20, eight (8) such cease and desist emails were sent.
Should the noncomplying institution fail to adequately respond to the cease and desist email, a cease and desist letter is sent certified to the address of record as well as to the email of record. Formal Closure, Notification of Noncompliance, and Student Record Demand Letters, either directing the institution to cease operation until Authorization is obtained or to surrender student records in accordance with O.C.G.A. 20-3-250.17, respectively, are also sent by NPEC. These are sent certified to the address of record as well as the email of record. In FY20, four (4) cease and desist or Closure letters were sent along with two (2) Student Record Demand Letters.
If it becomes clear the agency is not having success communicating with a noncomplying institution, NPEC will request action from the Office of the Attorney General of Georgia. In FY20, eight (8) such requests were made. Additionally, one (1) lawsuit was filed by the Attorney General on behalf of NPEC against a noncomplying institution.

LEGISLATIVE SUMMARY
Due to the disruption of the FY20 Legislative Session as a result of the COVID-19 pandemic, much of the FY20 proposed agency legislation, along with additional items that arose during remote work, will be presented during the FY21 Session. This legislative proposal includes changes to bond requirements, annual physical onsite visits, correction of previously passed legislation renumbering, and the expansion of the exemption category related to military installations.

FINANCIAL VIABILITY ASSESSMENTS
O.C.G.A. 20-3-250.6(a)(1)(H) & 20-3-250.6(c) establishes that authorized and exempt institutions must meet the standards to be financially sound and capable of fulfilling their commitments to students. Beginning in April 2015, NPEC implemented a rigorous financial viability assessment (FVA) of authorized institutions to prioritize institutional fiscal stability as part of the overall evaluation required for authorization and to protect the TGTF. Proactive review and communication with the institutions has assisted NPEC to enhance its planning of potential teach-outs and estimations of student reimbursements, both of which are often required in the case of institutional closures. The financial viability assessment at NPEC is achieved through a collaborative review of financial documentation submitted by authorized institutions, completed by both NPEC professional staff and an external auditor. For all authorized and "audit only" exempt institutions, financial viability assessments are completed annually. In both NC-SARA and GA-SARA applications, a Department of Education Financial Responsibility Composite Score is a required component. For those GA-SARA applicants/renewing institutions that do not participate in Title IV (Federal Financial Aid) or whose Composite Scores are between 1.00 and 1.5, NPEC conducts a financial viability assessment. In Fiscal Year 2020, two hundred and eighty-nine (289) authorized institutions, thirty-five (35) audit and bond only exempt institutions, and two (2) GA-SARA institutions were assessed. The possible outcomes are as follows:
Approved The institution is found to be financially stable. If an institution is approved, it has satisfied indicators of sound financial health. Examples may include the provision of financial information demonstrating current assets that exceed current liabilities and reflect a positive net working capital, profit or surplus from the prior fiscal year. Additionally, if applicable, the institution indicates a low risk of stocks to assets and meets United States Department of Education (USDOE) requirements.
Approved Conditionally The institution's financial viability may need improvement. For an institution that has been approved conditionally to maintain authorization, it must provide specified documentation (e.g., Audit) or show improvement in its financial position within a set period. For exempt institutions required to file an audit, a Financial Improvement Plan (FIP) is to be submitted to NPEC which provides an outline of actions and efforts being taken to improve the financial condition of the institution. Additional follow up actions may be required, if necessary, such as providing a Teach Out plan as guidance for students in the event of institution closure.
Denied The institution is found to not be financially stable. If an institution is denied, its financial position suggests an extremely high risk for an abrupt closure. Authorization will not be granted, and the institution will be required to cease operation.
Withdrawn- The institution determined to not finish the application process, or the institution could not provide the required financial information to the auditor to finish the Financial Viability Assessment, resulting in a withdrawn application.

O.C.G.A.20-3-250.27 created the Tuition Guaranty Trust Fund (TGTF), which is designed to provide a teach-out or refund to students at institutions that close and fail to honor commitments to complete the students' programs of study. The TGTF serves as an insurance pool of funds available for students of closed institutions. NPEC adopted a fee structure, based upon one-tenth of one percent of the institutions' annual gross tuition receipts. Beginning in July 1992, authorized institutions began to make annual payments to the TGTF. In accordance with O.C.G.A. 20-3-250.27(e) & 20-3-250.27(h) the following chart reflects activities of the TGTF over the past seven years and the financial strength of the fund. Teach-out of Students is the cost associated with the completion of a course of study at another institution following the closure of an institution. Refund of Tuition is the amount of reimbursements paid to students should they be unable or unwilling to complete their programs elsewhere.
