MESSAGE FROM THE COMMISSIONER
This past year has been one of transition for the Department. Commissioner David G. Sorrell retired December 1, 2005, after a distinguished career of 34 years with the State of Georgia. David's outstanding service to the citizens of Georgia and his involvement with other regulators through his participation on the Boards of the Conference of State Bank Supervisors and the National Association of State Credit Union Supervisors have left an indelible impression upon this Department and the financial industry.
I was honored to succeed David and be appointed Commissioner by Governor Perdue effective December 1, 2005. I remain strongly committed to maintaining the Department's position as one of the preeminent financial institution regulatory agencies in the country.
Rod Carnes was named the new Deputy Commissioner of Non-Depository Financial Institutions (NDFI), formerly the Mortgage Division. This position now regulates mortgage lenders and brokers as well as money service businesses. Rod's years of experience in both the licensing and examination of mortgage entities will be of great value to the Department in this position.

new banks opening in Georgia in
2005, as compared to 10 in 2004. Georgia was the third most active state
in the country in new bank formations, after Florida and California. It
appears that 2006 will be another strong year for new bank activity based
on the number of approved and/or accepted bank applications. The orderly
expansion of financial services through branching and chartering continues
to enhance the availability of convenient, competitive banking services for
Georgia consumers.
Another transition that has occurred has been the retirement of Leslie Bechtel, the Deputy Commissioner for Legal and Consumer Affairs, after more than 11 years of exemplary service to the State of Georgia. In Leslie's former capacity, I am pleased to introduce Judy Newberry as the new Deputy Commissioner for Legal and Consumer Affairs. Judy has a wealth of experience in the financial and consumer affairs arenas which has enabled a seamless transition for the Department in this important area of responsibility. During this time of transition, the Department also made several changes to its organizational structure in order to maximize operating efficiency and effectiveness. These changes have been largely transparent to the financial service entities that we regulate.
2005 continued to be a year of strong overall performance in the credit union industry, although Georgia, like other states in the country, has experienced continued consolidation activity as smaller credit unions merge with larger credit unions in order to achieve greater operating and management efficiencies.
As discussed later, the 2005 housekeeping bill for the Department included revisions which provided for modernization of various provisions of the financial institutions code related to credit unions. The Department remains committed to maintaining the competitiveness of the state charter for all financial institutions.
2005 was also a year of continued improved economic performance in Georgia and in the nation as a whole. Financial institutions experienced another year of strong economic performance and growth, although net interest margins remained challenged due to increased funding costs and an inverted yield curve. In 2005, the NDFI division remained focused on the areas of highest risk to Georgia consumers. Mortgage fraud remains a primary strategic focus for the Department and the risk focused examination process has served to identify many individuals involved with mortgage fraud. The volume of enforcement actions, including finalized Cease and Desist Orders,

revocations, and referrals to law enforcement agencies has increased dramatically since this program was implemented. We believe that this examination focus, combined with aggressive law enforcement and criminal prosecutions, will result in a credible deterrent to mortgage fraud. Additionally, placing the money service businesses within this division will permit improved oversight in this area, which has been an area of increased focus due to anti-money laundering and Bank Secrecy Act concerns.
In conclusion, I am grateful to our staff and the entities we regulate for adapting so well to all of the changes that occurred in 2005. I am excited about the future of the financial industry in Georgia, and confident that the Department remains well positioned to meet the challenges of regulating such a dynamic industry. As always, our goal remains to be the best financial services industry regulator in the country Progressive. Proactive. Service-Oriented.
Regarding legislative changes, the Department's 2005 housekeeping bill included a redefinition for savings banks; revisions to strengthen the parity provisions for state chartered financial institutions; strengthened provisions regarding the removal of officers, director or employees of financial institutions; several changes to modernize various provisions of the credit union code (which were agreed to among the banking and credit union associations); and several provisions related to mortgage lenders and brokers, including a provision to move exclusively to bonding provisions for lenders and eliminate net worth provisions.

ORGANIZATIONAL PROFILE
The Department of Banking and Finance (Department) is the state agency that regulates and examines banks, credit unions, and trust companies chartered by the State of Georgia. The Department also has regulatory and/or licensing authority over mortgage brokers, lenders, and processors; money service businesses; international banking organizations, and bank holding companies conducting business in Georgia.
Financial Institutions and financial service providers are subject to strong statutory and regulatory requirements at both the federal and state levels. We share regulatory responsibility for Georgia state-chartered financial institutions with our federal counterparts (FDIC, FRB, NCUA). We are the sole regulatory agency for mortgage lenders and brokers and money service businesses (with the exception of FINCEN and the IRS, which supervise the Bank Secrecy Act, USA PATRIOT Act and other Anti-Money-Laundering efforts).
STRUCTURE OF THE DEPARTMENT AND CONTACT INFORMATION
Functionally, the Department reports directly to the Chief Financial Officer and the Governor. The Department is headed by a Commissioner who is appointed by the Governor to serve a four-year term. Commissioner Rob Braswell is assisted by Senior Deputy Commissioner George Reynolds.
The Department's operations are divided along functional lines: Supervision, Administration, Non-Depository Financial Institutions, and Legal and Consumer Affairs. These divisions are headed by Deputy Commissioners.

The Director of Communication and Planning reports directly to Senior Deputy Commissioner Reynolds and is primarily responsible for: website administration; coordinating e-commerce initiatives; external publications; examination survey report compilation/analysis; coordinating employee survey processes; overseeing/coordinating all business resumption and emergency preparedness procedures and plans; coordinating strategic and business planning; and coordinating any marketing efforts of the Department.

STRATEGIC ACCOMPLISHMENTS DURING 2005
The Department's strategic plan is comprised of three Strategic Goals as follows:
GOAL 1: Regulated Entities will Receive Fair and Progressive Regulation and Supervision.
GOAL 2: The Department will Deliver Convenient and Responsive Products and Services to Customers and Consumers.
GOAL 3: The Department will Employ, Empower, and Retain the Best Quality Workforce Available and Ensure the Effective Use of our Human Resources.
MAJOR STRATEGIC ACCOMPLISHMENTS DURING 2005
1) Average processing time for new mortgage broker, lender, broker/processor applications decreased from 10-12 weeks to 4-6 weeks. Some factors contributing to the continued decrease in processing time were the purchase of a fingerprint scanner and the increased efficiency and effectiveness of the Division's licensing and administrative support staff.
2) Increased the number of mortgage licensees participating in the online renewal program from 17% in 2004 to 72% in 2005. The online renewal and payment program results in less paper, postage, and processing time and translates into a more timely, convenient and cost effective process.
3) Automated former paper-based systems, allowing for end-user updates of data, resulting in increased operational efficiency. In addition to the on-line mortgage renewal process discussed above, various on-line enduser applications were added in 2005 (i.e., main office relocation/address change, branch office relocation/address change, mailing address changes, office closure notices, contact changes, fingerprint card requests, etc.).
4) Enhanced revenue operations which provided the ability to accept credit card payments from regulated entities.
5) Participated in joint money transmitter examinations with other state regulators for training purposes. As a result, began development and implementation of a risk-focused money transmitter examination program.
6) Held the first Georgia Check Cashers conference on 6/20/2005. Evaluation feedback indicated that the conference was very successful.
7) Hired 14 new examiners in an effort to maintain a ready and capable examination force. Prior to 2005, the Department's budget resources had been reduced which resulted in a workforce that was considered less than optimal.
8) Held an Examiners' Conference for the first time in three years which included topics of interest to both bank and mortgage examination staff. Professional training hours increased almost 700 hours in 2005 as compared to 2004.
9) Established secure e-mail with banks/credit unions with implementation of Zixcorp e-mail system.

SUPERVISORY ACCREDITATIONS
The Department is accredited by the Conference of State Bank Supervisors (CSBS) and the National Association of State Credit Union Supervisors (NASCUS). Accreditation status is reviewed off-site annually and reviewed on-site every five years using a three person panel review team experienced in financial institution regulation.
The Department was first accredited by CSBS in December 1992. On August 20, 2003, the Department of Banking and Finance's accreditation was renewed by CSBS based on the findings of an on-site review. The CSBS Accreditation Program identifies banking departments that serve the citizens of their state by operating a capable and professional regulatory program. The primary purpose of the reaccreditation evaluation is to determine whether the Department continues to fulfill its responsibility to charter, examine, supervise, and regulate all state-chartered commercial banks in Georgia.
NASCUS has a similar accreditation program that was developed and implemented for state credit union supervisory agencies. On September 24, 2001, the Department of Banking and Finance's accreditation was renewed by NASCUS. The primary purpose of the reaccreditation evaluation is to determine whether the Department continues to meet the criteria necessary to fulfill its statutory responsibility to charter, examine, supervise, and regulate the credit unions chartered under the laws of the State of Georgia.
Both of these accreditation programs are designed to provide an opportunity and a system for state regulatory agencies to improve and enhance their credibility throughan accreditation process involving a comprehensive selfevaluation and an independent review of the Department's operations. Theseprograms are available on a voluntary basis, self-initiated, and have the following goals:
To foster continuity and uniformity of supervision and regulation of state-chartered commercial banks and credit unions;
To identify and correct Department weaknesses and to capitalize on the Department's strengths;
And, to enable the Department to better perform its responsibilities of chartering, regulating, examining, and supervising state-chartered institutions in order to assure safety and soundness, legal compliance, integrity of the industries, and responsive service.
Based on the most recent reaccreditation scores, the Department ranks among the top 10 accredited banking departments across the country.

State-chartered banks and credit unions have local access to decision makers in Georgia who are familiar with the unique competitive environment that those institutions face. Top decision makers can be easily reached for timely responses to questions and concerns from state-chartered institutions. Decision Makers More Knowledgeable of Local Communities and Local Market Conditions
The Department's management philosophy promotes decision making at the lowest possible level with quick access to senior management, when necessary, thereby ensuring responsive and timely action on all types of issues. In addition to the Administrative Staff in Atlanta, the Department has field offices throughout the state that are responsible for examination and supervision of banks and credit unions in their designated districts. Examiners live in the area where they examine institutions and are familiar with the local market and community. The Department is able to perform its regulatory function in a firm, yet fair manner, responsive to the particular needs of an institution. Competent Regulation and Supervision
The philosophy of the Department is that all financial institutions deserve firm, fair, and consistent regulation and supervision. The Department is nationally accredited through the Conference of State Bank Supervisors and the National Association of State Chartered Credit Union Supervisors. Regulatory activities are conducted in cooperation with federal and other state regulators through joint examinations and interstate agreements. Cooperation with federal regulators allows for examinations to be conducted on an alternative schedule. Most banks are examined by federal regulators only once in two to three years. More Cost Effective Regulation and Supervision
Annual regulatory assessment fees, hourly examination fees, and some application fees are substantially less than comparable federal charters. In the last several years, the Department's annual regulatory assessments have averaged one-half the cost of comparable federal assessments. Hourly examination fees assessed for specialty exams are almost half the rate of comparable hourly fees charged by federal regulators. Some application fees, including the bank charter application, are typically lower than comparable fees assessed by the federal regulators. Authorized Powers Comparable to or Greater Than Federal Powers
State-chartered institutions have comparable powers to federal institutions in all areas of operation. Further, the Georgia Financial Institutions Code contains a parity provision allowing the Commissioner to issue regulations to authorize a state institution to conduct an activity allowed for a federal institution unless such activity is expressly prohibited by state law. Therefore, should an individual or entity discover a situation where it feels a state institution is disadvantaged versus a federally-chartered institution, that individual or entity could petition the Department to use the parity provision to authorize the activity for a state institution. Georgia banking law permits activities which are incidental or complimentary to banking activities simply by written request to the Commissioner. Additionally, state banks can conduct activities not authorized for national banks, provided such activities are authorized under state law and approved by the FDIC under Section 24 of the FDI Act.

LEGISLATIVE HISTORY AND HIGHLIGHTS
The Georgia Financial Institutions Code (Code) was enacted in 1933 and substantially revised in 1974. Since that time, the Department has annually revised the law to stay current with changes in federal law and to maintain a competitive posture for our state institutions.
During 1996 and 1997 the Department passed regulations in cooperation with the Office of the Commissioner of Insurance to permit banks in Georgia to sell insurance and annuities. In 1996 Georgia opted in to the provisions of the federal Riegle-Neal Act, which permitted interstate branching of banks by merger. The phase-in of statewide intrastate branching was complete on July 1, 1998, allowing banks to branch freely within the state, subject to the Department's approval. During 1999, cleanup of the old branching laws was accomplished by considerable wording changes to the Code. With the settling in of statewide branching, powers of bank holding companies were increased, allowing the formation of a de novo bank by an existing bank holding company that has lawfully entered the state.
With extensive federal banking legislation being passed in November 1999, in the form of the Gramm-Leach-Bliley Act, the Department began its efforts to ensure that Georgia laws and regulations worked smoothly with the new federal laws and regulations in the areas of financial holding companies, financial subsidiaries, and privacy. Legislative changes to the Georgia Residential Mortgage Act have been made in recent years to simplify regulation and reduce paperwork for applicants and the Department, as well as to continue to improve the effectiveness of the Department's enforcement powers.
This Act was the most significant new statute affecting the residential mortgage loan process in Georgia in 10 years. The intent of the Act is to prohibit abusive mortgage loan practices, which legislators believed were increasingly prevalent in Georgia. The Act places considerable restrictions on "High Cost Home Loans" and some restrictions on all "Home Loans". The law is concerned with loans that are secured by a borrower's principal dwelling located on real estate in Georgia.
Legislation passed in 2003, provided, among other items: (1) a provision to allow the formation of banks as limited liability companies; and (2) a requirement for licensing and regulation of money transmitters, who send
money, generally outside the United States.
2004 saw relatively minor changes, but maintained the state charter as competitive and desirable. One change in 2004 gave parity to state banks in the area of owning
and leasing real property. Another change updated the law on ATMs, which are no longer treated as
branches on either the federal or the state level.
In 2005 credit unions requested an update of numerous provisions of the credit union Code. Many of the changes were made and this put state credit unions on par with their federal counterparts. The parity law was also enhanced for the benefit of all financial institutions. Definitions and enforcement issues in the mortgage area were clarified and strengthened. The Department did not have a housekeeping bill in the 2006 session.
The Georgia Fair Lending Act (the Act) became effective on October 1, 2002, and was subsequently amended during the 2003 legislative session.

The number of Georgia state-chartered banks increased during the year, while the number of national banks and federal thrifts declined. As of the end of the year, the number of state-chartered banks totaled 282, an increase of 11 from the previous year. The net increase of 11 from the previous year was the result of: 13 new banks opening, one national bank and one thrift converting to a state charter, and four banks merging out of existence. State-chartered banks represented roughly 81% of total Georgia banks as of 12/31/2005.
As reflected in year-end 2005 Call Report information, total assets for state-chartered banks in Georgia amounted to $251 billion, reflecting an increase of roughly $53 billion or 26.7% from yearend 2004. Bank Charter Activity Bank charter activity remained strong during the year, with 21 new state bank charter applications received, 18 approved, and 13 opened.

There were 68 state-chartered credit unions at year-end 2005, a decrease of five from the previous year. The decrease is attributed to five credit unions merging out of existence during the year. As reflected in year-end 2005 Call Report information, total assets for state-chartered credit unions in Georgia amounted to $8.4 billion, reflecting a decrease of roughly $76 million from year-end 2004.
Other Licensees, Registrants, and Regulated Entities MORTGAGE LICENSEES AND REGISTRANTS
Article 13 of Title 7 of the Official Code of Georgia Annotated requires all persons who transact business as a mortgage lender, broker, or processor to be licensed or registered with the Department, unless they are exempt or subject to notification requirements only. At the end of 2005, active licensees and registrants totaled 3,415, a net increase of 111 or 3.6% for the year. Services offered by licensees and registrants subject to regulation by the Department include loans to purchase a home or refinance a home or existing mortgage, second mortgage loans, home equity loans or lines of credit, and loans for other purposes to natural persons secured by a lien on Georgia residential property. MONEY SERVICE BUSINESSES (MSBs)
Check Cashers As of the end of 2005 there were 582 check cashers licensed or registered with the Department. There were 225 new companies licensed or registered to do a check cashing business in Georgia during the year and 73 companies either closed or did not renew their licenses during the year. This represents a net increase of 152 or 35.3% from the previous year.

Check Sellers The Department has been supervising companies which sell traveler's checks and money orders to people in Georgia since 1965. One new company was approved for licensing during 2005 and two licensees closed. At the end of the year 26 companies having a total of 11,887 agents throughout the state were licensed to do business in Georgia. There are only six in-state sale of check companies licensed with the Department. The other 21 companies are out-of-state companies licensed to operate in Georgia.
Money Transmitters Georgia laws implementing licensing requirements for money transmitters (Sections 7-1-680 through 7-1-689.1 of the Official Code of Georgia) became effective on 7/1/2003. At the end of 2005, 75 money transmitters having a total of 2,727 agents throughout the state were licensed to do business in Georgia. The year-end 2005 total represents a net increase of 8 from the previous year or 11.9%.
All State Banks, National Banks, Federal Savings and Loan Associations, Federal Savings Banks, and State and Federal Credit Unions conducting a lawful banking business in Georgia may sell checks and transmit money without obtaining a special license from the Department.

BANK HOLDING COMPANIES A total of 255 bank holding companies were registered with the Department at the end of 2005. The Department received 14 holding company formation applications during 2005. Thirteen of those received were approved during the year, and one was pending approval at year-end. Thirteen holding company acquisition applications were received during the year. Ten of those received were approved during the year, and three were pending approval at year-end. FOREIGN BANKING ORGANIZATIONS At year-end, the number of International Bank Agencies licensed by the Department remained unchanged at four. Three out of the four International Bank Agencies operate as representative offices only, but maintain their license as an agency. During 2005 the number of Domestic International Banking Facilities remained unchanged. One new International Representative Office was registered during 2005, bringing the total to four. REPRESENTATIVE OFFICES OF BANKS AND BANK HOLDING COMPANIES A representative office is an office established by a bank, a bank holding company, or an agent or subsidiary of either for the purpose of conducting other than a banking business, and is not considered a main office or a branch office.
