The Kansas Bankers Surety Company, Topeka, Kansas

Please be advised that The Kansas Bankers Surety Company,Topeka, Kansas, has provided written documentation to the Georgia Department of Banking and Finance (Department) regarding its financial and operating performance and documentation reflecting that it is an authorized surety provider licensed by the Office of the Georgia Insurance Commissioner.
Therefore effective October 16, 2006, it is our determination that consistent with OCGA 7-1-244, that the excess deposit insurance coverage offered by the Kansas Bankers Surety Company is deemed satisfactory by the Department consistent with the provisions of this Code section. Under 80-1-2-.06 of the Rules of the Department of Banking and Finance, as with all direct and indirect banking service vendors, banks that obtain such coverage have a continuing responsibility to assess the ongoing financial stability of the company providing such coverage.
OCGA 45-8-12 permits the use of a surety bond issued by a company duly qualified and

authorized to transact a surety business in the State with respect to securing public funds. Based on the documentation provided, it appears that The Kansas Bankers Surety Company is authorized to engage in the business of providing Surety Insurance in the State of Georgia through June 30, 2007. Specific questions regarding the use of surety coverage in lieu of public funds pledging should be forwarded to the Office of Treasury and Fiscal Affairs.
This determination shall continue to remain in effect provided that this company remains authorized by Georgia Office of the Commissioner of Insurance to engage in the business of surety insurance and that the company maintains satisfactory solvency and an adequate financial condition to safely offer excess deposit insurance coverage to Georgia State chartered financial institutions. Loan Underwriting Reminders
Recent examinations in several de novo banks have reflected the need to reemphasize certain provisions regarding participation loans that are required not only by statutory and regulatory requirements but also necessary in the proper exercise of ordinary credit judgment and due diligence by the purchasing bank. While this recent focus has been on participation loans, the issues identified apply to all loans underwritten by community banks, both de novo banks and established financial institutions.
Rule 80-1-5-.04 requires that banks purchasing loan participations maintain copies of the documentation to the same extent as the originating bank. The Department has always stressed the need for participating banks to do their own underwriting and not rely on underwriting performed by a bank or other company that is originating the loan. We have observed in certain recent reviews that full collateral documentation was not maintained, including obtaining a written final title opinion verifying the lien position of the originating and participating banks. All necessary credit and collateral documentation should be obtained prior to funding the loan.
Appraisals need to be independent and the methodology and comparative properties used in the appraisals should be reviewed. Care should be taken regarding loans secured by multifamily residential property to ensure collateral values are accurate, particularly on mixed usage developments which may contain condominium and apartment properties in the same development. Also condominium conversions must conform to the Code requirements of the county where they are located. Properties which lack proper firewalls and other code requirements may not be marketable and may have substantially reduced values relative to their appraised values, if the appraisal does not consider these collateral issues.
Additionally, bankers should be performing appropriate analysis of the financial information being provided on the borrower. Financial statements that are reflecting substantial net worth positions, but where the assets are being held by other corporate or non-corporate entities, where the sources of asset valuations are uncertain, or where the borrower is highly leveraged with many relatively small loans at different financial institutions, should be carefully analyzed. If the collateral is in the name of a corporation or an LLC, then financial information should be provided on this entity and the loan should be in the name of this entity, normally with the proper guarantees of the principal.
It is strongly recommended that if a borrower and his related entities have a material degree of leverage (tens of millions of dollars of borrowings for example) even if the borrowing relationship with the subject bank is relatively moderate in amount relative to the borrower's total indebtedness, there should be an expectation for the borrower to provide a copy of an audited financial statement. Personally prepared financial statements and compiled and reviewed financial statements are not subject to auditing and verification procedures and borrowers with complex financial transactions, multiple business entities and large volumes of leverage should be subject to audited financial statement requirements.
Determination of character is also an important component of the credit granting process. In a situation where a bank is purchasing a participation or establishing an initial credit relationship, it is more difficult to establish the character of the potential borrower. Certainly if a participation is being purchased, it is prudent to ascertain the

financial history of the borrower from the lead bank of the participation. Further, it may be prudent to do a quick background search on the internet, to determine if there is any adverse information that requires additional explanation. On Commercial Loans, a Dunn and Bradstreet Report can provide financial history and background on a potential borrower and an individual credit report can also be useful.
Bankers should continue to exercise critical judgment in the decision making process of granting credit. If a borrower is approaching your bank about making an out of territory loan in metro Atlanta, and your bank is located in Middle or South Georgia, you should determine why the borrower is approaching your bank for credit. There may be a perfectly sound explanation for this, such as having a residence or business connection in your community, but this needs to be determined.
The collateral and credit documentation discussed above needs to be in the hands of the bank and properly reviewed prior to the funding of a loan. Following these prudent underwriting standards are key to maintaining the asset quality of the bank's portfolio.
Online Request for Certificate of Valid Existence/Letter of Good Standing
The Department recently developed an online system where users can request a Certificate of Valid Existence on a Georgia state-chartered bank or credit union or a Letter of Good Standing for a Georgia domiciled bank holding company. Previously, such requests had to be submitted via fax or mail to the Department's Supervisory Division.

Once the user chooses one of the links above, they will be taken through various steps to complete their request and also to make payment for the $25 fee to the Department. Specifically, users will be directed to a search page in order to locate a particular institution, make the request for a certificate of valid existence/letter of good standing on that particular institution, and then pay the required $25 fee to the Department. Users can pay the $25 fee online by ACH draft or by credit card (MasterCard, Visa, American Express or Discover is accepted), or they may pay the $25 fee by submitting a check payable to the Department of Banking and Finance after completing and submitting the online request and printing the "Pay by Check" form.
There are links to the above request pages in various places on the Department's public website (i.e., bank and credit union forms and applications, frequently requested information, etc.).

GTA Helps Fight Identity Crime with LicenseMatch
"Because when it comes to bank fraud, the bad guys aren't this obvious."
According to the FBI and the American Bankers Association, thieves steal more through check fraud than from bank robberies, costing banks an average of $677 million a year. With instructions on the Internet and easy access to desktop publishing software and laser printers, would-be criminals find it easier than ever to create counterfeit checks and IDs.
The Georgia Technology Authority (GTA) has developed a tool called LicenseMatch to help combat check fraud. LicenseMatch is a simple, yet powerful, web-based tool now offered to banking institutions. Using LicenseMatch, bank agents can quickly check customers' state-issued ID cards against an up-to-date database to ensure the IDs are valid. If the match isn't made between what's on the ID and what's in GTA's system, it could mean a case of false identity! Bank personnel can then take action following their in-house procedures. For example, LicenseMatch can be used to verify the license information when anyone is cashing a check, opening an account, obtaining account information, picking up pre-ordered checks, initiating a wire transfer or gaining entry into a safe deposit box.
LicenseMatch was conceived by GTA and developed in cooperation with the Georgia Department of Banking & Finance and the Georgia Department of Driver Services. The tool is currently being piloted and will be available for general sale beginning in January.
