"JACK" DUNN (1925 - 1999) Jack Dunn, former Commissioner of the Department of Banking and Finance, was Georgia's first Commissioner of Banking and its last Superintendent of Banks. Mr. Dunn was 46 when he was appointed Superintendent of Banks by then Governor Jimmy Carter in January of 1972. His title was later changed to the Commissioner of the Department of Banking and Finance and he served until his retirement in July of 1997. He served under four governors. In addition to Governor Carter, he served under Governors George Busbee, Joe Frank Harris and Zell Miller. He served for 25 consecutive years and at the time of his retirement he was the longest serving state banking commissioner in the United States. A native of Thomasville, Georgia, he was the son of Thomas Derrill Dunn and Allie Mae Milligan Dunn. He graduated from Decatur Boys High School and served a tour of duty in the U.S. Navy. Commissioner Dunn graduated from Georgia State University in 1950 and from the Woodrow Wilson College of Law in 1954. His early working career was spent selling and managing real estate and running a feed store. He began his banking career in 196l at Glenwood National Bank, Decatur, Georgia, a bank his father founded. He served as President of Glenwood National from 1961 to 1969 and as Chairman of its Board from 1969 to 1971. Commissioner Dunn served as President of the Conference of State Bank Supervisors (CSBS), the national organization for state bank regulators, from 1978 to 1979. He also served as Secretary Treasurer of CSBS from 1984 to 1985 and as a CSBS Board member several other years. He served a term as Chairman of the State Liaison Committee to the Federal Financial Institutions Examination Council, the policy coordination body for the federal financial regulatory agencies. Soon after his initial appointment Commissioner Dunn oversaw a complete revision of the Georgia Banking Code. After the original rewrite of the Code in 1974, Mr. Dunn diligently updated the Code throughout his tenure as Commissioner to assure that Georgia banks could remain competitive and were able to be innovative in the financial services industry. The Department's examination and supervision program was upgraded to a quality program under his guidance and the Georgia Department of Banking and Finance became a nationally respected bank regulatory agency with all -ii- 1999 Annual Report Georgia Department of Banking and Finance TRIBUTE TO EDWARD D. "JACK" DUNN (1925 - 1999) the federal bank regulatory agencies as well as the other state bank regulatory agencies. Commissioner Dunn always maintained a steady, clear focus on "safety and soundness". Over the years he built a strong organizational culture and value system at the Department by instilling his regulatory/supervisory philosophies throughout the Department. Those operating philosophies included a belief in effective but reasonable regulation and firm but fair supervision. Commissioner Dunn had a serious drive to always do the right thing, always keeping in mind whatever was in the best interest of the entire state of Georgia. He believed that the Department should maintain a proper balance and fairness in its dealings with both large and small institutions and that the Department should always demonstrate an attitude of responsiveness toward the industries we regulate and the Georgia public that we serve. Through the implementation of these operating philosophies Commissioner Dunn was able to firmly establish and grow the creditability of the Department over the years. Despite his many accomplishments, Commissioner Dunn was well known for his modesty. He always savored his victories by looking around for someone else to give the credit. Above all else Jack Dunn was a "true leader". Commissioner Dunn was honored in December 1998, by the state Transportation Board, who renamed a segment of GA Highway 238 (LaVista Road), the Jack Dunn Highway. Commissioner Dunn's death most certainly left a void in the hearts of those who knew and had the pleasure of working with him. Our challenge at the Department of Banking and Finance is to assure that Commissioner Dunn's legacy lives on by preserving, maintaining and building upon the strong organizational value system and the strong foundation of credibility that he left with us. -iii- Georgia Department of Banking and Finance 1999 Annual Report MESSAGE FROM THE COMMISSIONER Georgia financial institutions continued their prosperity in 1999 with minimal safety and soundness concerns. Capital The Department's 1999 legislative housekeeping was focused primarily in four categories: (1) updating the branching code to be consistent with and earnings levels are strong. Strong competition implementation of statewide branching; (2) revising for deposits and loans continued as evidenced by the Georgia Bank Holding Company Act to allow squeezed net interest margins. All institutions are for the formation of a de novo bank by a bank encountering deposit disintermediation with many relying more on non-deposit funding. Larger financial institutions have led the increasing reliance on noninterest fee income. Non-performing assets remained at nominal levels, but some loan quality deterioration issues have surfaced. Georgia holding company which has lawfully entered Georgia; (3) enhancing the enforcement authority of the Georgia Residential Mortgage Act; and (4) continuing the Department's efforts to keep the Financial Institutions Code current and powers competitive. financial institutions prepared well and made Y2K a non-event. The Department's legislative housekeeping for 2000 will focus on ensuring that Georgia banking and Change continues to occur rapidly in the financial services industry. Technology remains a driving force behind the geographic and product expansion experienced throughout the industry. Most financial bank holding company laws and the Department's regulations are consistent with the federal legislative changes implemented by the GrammLeach-Bliley Act passage. institutions have plans to use the Internet to deliver financial services. In November, 1999, Congress passed and the President signed the Gramm-LeachBliley Financial Modernization Act. This Act was the culmination of many years of federal efforts to expand the powers of financial institutions. This Act created the financial holding company which may be elected by bank holding companies that are well managed and well capitalized. With a financial holding company, one entity may conduct banking, securities and insurance activities as principal. Technology and this new law will have a profound effect on financial institutions' operations for years to come. New chartering activity has continued despite intrastate de novo branching and general industry consolidation. Sixteen new state bank charter applications were filed with the Department in 1999, of which twelve were approved. Of the four applications received but not approved during 1999, one has been approved in 2000, one was withdrawn, and two are still under consideration. In addition, two charter applications received in late 1998 were approved in 1999. The orderly expansion by branching and by chartering continues to enhance the availability of convenient, affordable banking services for the citizens of Georgia. -1- 1999 Annual Report Georgia Department of Banking and Finance MESSAGE FROM THE COMMISSIONER In September, SunTrust Banks, Inc., Atlanta, Georgia, announced plans to consolidate its twentyseven bank charters, located in six states and Washington, D.C., into a single Georgia state charter. This consolidation was completed on January 1, 2000, creating a $93 billion bank. SunTrust Bank is the ninth largest bank in the United States. The growth of the Department's non-depository financial services providers, particularly the mortgage licensees and registrants, continues to require significant Department resources. The Department now regulates over 2,800 mortgage brokers, lenders and registrants. The Department is addressing the mortgage fraud growth which has accompanied the rapid residential mortgage growth in Georgia's markets, particularly metropolitan Atlanta. Steven D. Bridges, Commissioner The Department continues to implement strategic plan initiatives to better equip the organization to handlethe evolving regulatory services environment. One of the Department's main strategic initiatives is putting the right people in the right places doing as efficiently as possible the right things to achieve its mission and realize its vision. Complex and rapid changes in financial institutions and their regulation require the Department to continuously devote resources to training its people. This will preserve and enhance the safety, soundness and responsiveness of the entities the Department regulates to provide competitive and accessible financial services for the public. -2- Georgia Department of Banking and Finance 1999 Annual Report GEORGIA DEPARTMENT OF BANKING AND FINANCE MISSION STATEMENT The Department's mission is to promote safe, sound, competitive and accessible financial services through the highest quality regulation and su pe rvis i on. VISION STATEMENT Through efficient regulation and effective regulatory structures and procedures, the Department of Banking and Finance will support a high level of economic growth, security, and well-being for all Georgians. To realize this vision, the De partment will use a team approach and appropriate technology to foster safe, sound, and innovative financial services in the state. -3- 1999 Annual Report Georgia Department of Banking and Finance STRUCTURE OF THE DEPARTMENT The Georgia Department of Banking and Finance functionally is directly under the Governor's office. It is headed by a Commissioner, who is appointed by the Governor to serve a four year term. under the supervision of th e Department, with the exception of mortgage applications. The Corporate Division is also responsible for the licensing and supervision of check cashers and sale of check The Commissioner is assisted by Senior Deputy companies. The Mortgage and Corporate Divisions Commissioner David G. Sorrell. are headed by Deputy Commissioner for Mortgage/Corporate Robley S. Rigdon. The Department's operations ar e divided along functional lines: Administration, Supervision, Legal and Consumer Affairs Division: The Legal Mortgage/Corporate, and Legal and Consumer Affairs. and Consumer Affairs Division is responsible for These divisions are headed by Deputy Commissioners. Administrative Division: The Administrative Division is responsible for personnel matters, providing legal support to the Commissioner and staff. The consumer affairs section specifically handles consumer complaints regarding financial institutions and mortgage licensees/registrants. The budgeting, accounting services, information Division is headed by Deputy Commissioner for systems, training activities, and special projects. Legal and Consumer Affairs Leslie A. Bechtel. The Division is headed by Deputy Commissioner for Administration David A. Hancock. Supervisory Division: The Supervisory Division is responsible for the supervision, regulation, and examination of depository financial institutions regulated by the Department including banks, trust companies, bank holding companies, credit unions and international banking organizations. Th e Division is responsible for the supervision of the Department's six examination districts, which have district work areas located in various geographic regions of the state to facilitate the supervisory process. A Large Institutions Supervision District was recently established to handle large, complex, and wholesale financial institutions. Rigdon Mortgage/Corporate Division: The Mortgage Division is responsible for the licensing, supervision, and regulation of mortgage lenders and brokers who are licensees and registrants under the law. The Corporate Division's primary responsibility is application processing for all areas -4- Georgia Department of Banking and Finance 1999 Annual Report ADVANTAGES OF A STATE BANK CHARTER We believe that the state bank charter offers several distinct benefits: # Local, Responsive, and Timely Decision Making State-chartered banks have local access to decision makers in Georgia who are familiar with the unique competitive environment that Georgia banks face. Top decision makers can be easily reached for timely responses to questions and concerns from state-chartered banks. Unlike federally chartered institutions, state banks do not have to wait for decisions to be made in Washington, D.C. # Decision Makers More Knowledgeable of Local Communities and Local Market Conditions The Department's management philosophy promotes decision making at the lowest possible level with quick access to senior management, when necessary, thereby ensuring responsive and timely action on all types of issues. In addition to the Administrative Staff in Atlanta, the Department has field offices throughout the state which are responsible for examination and supervision of banks in their designated districts. Examiners live in the area where they examine banks and are familiar with the local market and community. Therefore, the Department is able to perform its regulatory function in a firm, yet fair manner, responsive to the particular needs of an institution. # Competent Regulation and Supervision The philosophy of theDepartment is that all financial institutions deserve "firm, fair, and consistent" regulation and supervision. The Department is nationally accredited through the Conference of State Bank Supervisors and the National Association of State Chartered Credit Union Supervisors. Regulatory activities are conducted in cooperation with federal and other state regulators through joint examinations and interstate agreements. Cooperation with federal regulators allows for examinations to be conducted on an alternative schedule; therefore, most banks are examined by federal regulators only once in two to three years. # More Cost Effective Regulation and Supervision Annual regulatory assessment fees and many application fees are substantially less than comparable federal charters. In the last several years, the Department's annual regulatory assessments have been slightly more than one-half the cost of comparable federal assessments. Application fees, including the bank charter application, are typically lower than comparable fees assessed by the federal regulators. # Authorized Banking Powers Comparable to or Greater Than National Bank Powers State-chartered banks have comparable powers to national banks in all areas of operation. Further, the Georgia Financial Institutions Code contains a parity provision allowing the Commissioner to issue regulations to authorize a state bank to conduct an activity allowed for a national bank unless such activity is expressly prohibited by state law. Therefore, should you discover a situation where you feel a state bank is disadvantaged versus a national bank, you could petition the Department to use the parity provision to authorize the activity for a state bank. (and its subsidiaries), The Bankers Bank, and Georgia Central Credit Union. -12- Georgia Department of Banking and Finance 1999 Annual Report STATE SUPERVISION ACCREDITATIONS On December 18, 1998, the Department of Banking and Finance's accreditation was renewed by the Conference of State Bank Supervisors (CSBS). The annual review team commended the Department on its many efforts to enhance and streamline operations. The CSBS Accreditation Program identifies banking departments that serve the citizens of their state by operating a capable and professional regulatory program. The National Association of State Credit Union Supervisors (NASCUS) has a similar accreditation program that was developed and implemented for state credit union supervisory agencies. On September 4, 1998, the Department of Banking and Finance's accreditation was renewed by NASCUS. The NASCUS Performance Standards Committee determined that the Department continues tomeet criteria necessary to fulfill its statutory responsibility to charter,examine, supervise, and regulate the credit unions chartered under the laws of the State of Georgia. To foster continuity and uniformity of supervision and regulation of state-chartered commercial banks and credit unions; To identify and correct Department weaknesses and to capitalize on the Department's strengths; And, to enable the Department to perform better its responsibilities of chartering, regulating, examining and supervising state-chartered institutions in order to assure safety and soundness, legal compliance, integrity of the industries, and responsive service. Both of these accreditation programs are designed to provide an opportunity and a system for state regulatory agencies to improve and enhance their credibility through an accreditation process involving a comprehensive self-evaluation and an independent review of the Department's operations. These programs are available on a voluntary basis, self-initiated, and have the following goals: -13- 1999 Annual Report Georgia Department of Banking and Finance STRATEGIC PLAN The Department of Banking and Finance's first strategic plan was developed in 1995. The plan's main focus is on maintaining a sound, competitive and accessible financial system for the citizens of Georgia. In forming the plan, the staff of the Department seriously considered the question of how the Department could best act in the interest of Georgia's citizens and communities in an age when financial institutions are taking new forms, being restructured, merging together, and being operated under changing regulatory regimes. Identify potential service markets and allocate and develop the needed resources to serve these markets. Foster a culture which emphasizes communication between management and staff, teamwork, and empowerment of employees. Measure and enhance customer satisfaction with agency services. Measure and evaluate the Department's progress in achieving the Strategic Goals. The Department's strategic plan is based on a number of planning activities and operational reviews that have occurred in recent years. In 1998, the Department conducted a follow-up strategic planning retreat. As a result of the planning session, the strategic plan was reviewed, simplified, and revised. In this time of rapid change, we believe the Department has an important role to play in maintaining a healthy system of financial services providers -- one that promotes stable economic growth and development, access to financial services with appropriate consumer safeguards, and competition among providers. Integral parts of the Department's plan are the vision and mission statements, key values, and strategic directions and goals. The Department's strategic plan is comprised of seven Strategic Directions as follows: Maintain the viability and enhance the value of state-chartered institutions in a global services environment. Each work unit of the Departm ent is responsible for developing an annual operating plan designed to implement the strategic plan through the promotion of the Department's strategic goals and directions. Plans are to review and update the strategic plan at least every three years. Retain quality employees and maximize the effectiveness and efficiency of the Department's human resources. Maximize the efficiency and effectiveness of the Department's use and management of technology. -14- Georgia Department of Banking and Finance LEGISLATIVE HIGHLIGHTS 1999 Annual Report History In 1974, the banking laws were subject to substantial recodification in the form of the Financial Institutions Code of Georgia which became effective April 1,1975. Since establishment of the Department in 1919, additional responsibilities have been assigned to the agency in the form of the Georgia Credit Union Act (1925); Trust Company Laws of Georgia (1927); Georgia Sale of Checks Act (1965); The Fiduciary Investment Company Act (1970); International Bank Agency Act (1972); Georgia Business Development Corporation Act (1972); Regulation of Check Cashers (1990); and the Georgia Residential Mortgage Act (1993). Provisions of Title 7 of the Code of Georgia relating to Bank Holding Companies were substantially amended, effective July 1, 1976, to permit multi-bank holding companies to operate in Georgia under Department supervision. During 1996 and 1997, the Department passed regulations in cooperation with the Office of the Commissioner of Insurance to permit banks in Georgia to sell insurance and annuities. In 1996, Georgia optedin to the provisions of the federal Riegle-Neal Act which permitted interstate branching of banks by merger. During 1996, amendments were also made to interstate holding company laws. Beginning on July 1, 1998, the phase in of statewide intrastate branching was complete, allowing banks to have an unlimited number of de novo branches. The Department continues to make changes to the Code to streamline the application process and coordinate its procedures with federal requirements. 1999 Legislation In the year before the new millennium, the Department clarified the various bank emergency procedures in law and regulation. Bank powers were increased and diversified somewhat in 1999. Cleanup of the old branching laws was accomplished by considerable wording changes to the Code. With the settling in of statewide branching, powers of bank holding companies were increased, allowing the formation of a de novo bank by an existing bank holding company that has lawfully entered the state. In addition, various changes were made to the Georgia Residential Mortgage Act to tighten areas of enforcement and discourage doing business with unlicensed parties. Looking Ahead A smooth transition into the new century was welcomed by the regulators and the industry. With extensive federal banking legislation being passed in November, 1999 in the form of the Gramm-Leach-Bliley Act, the Department will be challenged to ensure that Georgia laws and regulations work smoothly with the new federal laws and regulations in the areas of financial holding companies, financial subsidiaries, and privacy. Various changes are contemplated to give state banks additional choices and flexibility in the investment and lending areas. reports. -17- 1999 Annual Report Georgia Department of Banking and Finance AN OVERVIEW OF THE FINANCIAL SERVICES PROVIDERS REGULATED BY THE DEPARTMENT The financial and statistical information contained in this report has been compiled from the annual reports of condition submitted by the 269 state- HOLDING COMPANIES Supervised/Registered Bank Holding Companies chartered commercial banks, 10 credit card banks (five state-chartered and five with a national charter), 66 national commercial banks, 81 state-chartered credit unions, 23 licensed money order companies operating in this state, and other statistical information made available through the examination, investigation and licensing of financial institutions and other entities under the supervision of the Department of Banking and Finance. This annual report, required by Section 7-1-74 of the Official Code of Georgia Annotated, provides factual and statistical information useful to the financial A total of 240 bank holding companies were registered with the Department at the end of 1999, a net increase of one from year-end 1998. The Department approved 40 applications by bank holding companies to acquire controlling interest in financial institutions. TRUST COMPANIES Trust activities continue to be conducted principally by bank trust departments. The number of credit unions under the Department's supervision continues to decline, as consolidations remain prevalent in the industry. -18- Georgia Department of Banking and Finance 1999 Annual Report AN OVERVIEW OF THE FINANCIAL SERVICES PROVIDERS REGULATED BY THE DEPARTMENT During the year two state-chartered credit unions were merged into federal credit unions. MORTGAGE LICENSEES AND REGISTRANTS Check Cashers and Sale of Check Companies As of the end of 1999, there were 229 check cashers licensed by the Department. This was a net increase of 13 from the previous year. Article 13 of Title 7 of the Official Code of Georgia Annotated requires all persons, unless they are exempt, who transact business as a mortgage broker or mortgage lender to be licensed or registered with the Department. The number of mortgage broker and mortgage lender licenses issued each year continues to grow at a rapid rate, ensuring that Georgians are provided with varied sources of mortgage financing opportunities covering the entire spectrum of financial options. At the end of 1999, active licensees and registrants totaled 2,871, a net increase of 242 or 9.2% for the year. Services offered by licensees and registrants, and covered by the Department's regulation, include loans to purchase a home or refinance a home or existing mortgage, second mortgage loans, home equity loans or line of credit, and loans for other purposes to natural persons secured by a lien on Georgia residential property. OTHER LICENSEES OR REGISTRANTS International Banking During 1999, the number of Domestic International Banking Facilities and International Representative Offices remained virtually unchanged. At the end of the year, there were five representative offices of international banks registered or authorized to do business in Georgia and two domestic international banking facilities. Over the last few years, many international banking organizations have consolidated their U.S. operations in order to improve efficiency, resulting in the closure of agency offices in various states. At year-end there were eight International Bank Agencies licensed by the Department, representing a decrease of five from the previous year. The Department has been supervising companies which sell traveler's checks and money orders to the residents of Georgia since 1965. At the end of the year, 23 companies having a total of 9,878 agents throughout the state were licensed to do business in Georgia. At the end of the year, there were only two in-state sale of check companies licensed with the Department. The other 21 companies are out-of-state companies licensed to operate in Georgia. Representative Offices of Banks and Bank Holding Companies As of the end of 1999, there were 64 companies registered as representative offices affiliated with banks or bank holding companies operating in this state compared to 60 at the end of 1998. These included 49 registrants of out-of-state companies and 15 registrants of in-state companies. Examinations of bank servicers and cooperatives are performed on a regular basis. During 1999, 728 new applications were received plus 68 applications for reinstatement of withdrawn, revoked, or expired licenses for a total of 796 applications. In 1999, 670 new applications were approved, 32 were denied, and 17 applications were withdrawn. There were 54 reinstatements of either revoked, expired, withdrawn, or suspended licenses. A total of 482 licenses either expired, were withdrawn or were revoked during the year. One license remained in suspended status at the end of the year. As of December 31, 1999, there were 2,871 active licensees/registrants. In 1999, there were 98 Cease and Desist Orders issued to both licensed and unlicensed persons or companies. Also, 32 Subpoenas were issued for production of testimony or records. One public hearing was held at the Office of Administrative Hearings.
