SORRELL DEPUTY COMMISSIONER Commissioner Steven D. Bridges Mr. Steven D. Bridges was appointed Commissioner of the Department of Banking and Finance by Governor ZeU Miller on August 11, 1997. Mr. Bridges served as Senior Deputy Commissioner from July 1, 1991 until his appointment as Commissioner last year. -11- MESSAGE FROM THE COMMISSIONER Georgia financial institutions continued to prosper in 1997 with minimal safety and soundness concerns. Capital and earnings are strong. Non-performing assets remained at nominal levels. Concern continues with consumer debt levels as well as with recent weather related agricultural crop problems. Concerns for all financial service providers as well as their vendors and customers have heightened due to the Year 2000 computer problem, which must be addressed for all computer applications that involve date calculation or manipulation before December 31, 1999. Change continues to be the operative word for the financial services industry. Geographic and product expansion delivered through more diverse channels utilizing technology continues to drive the industry. Consolidation within the financial services industry continues. The Department continues to adapt the Financial Institutions Code and Department regulations to assure Georgia financial institutions remain competitive and viable through flexible and timely regulation in this rapidly changing environment. The Department also implemented a restructuring in 1997 in conjunction witq its strategic plan to better equip the organization to handle the evolving regulatory services environment. This restructuring recognizes well managed, well capitalized financial institutions by lessening the regulatory burden on these institutions and places Department personnel in new positions and responsibilities which allow a more prompt and more consistent response to its regulatees and to consumers. As provided in 1996 and 1997 statutory changes, nationwide interstate branching is now possible for banks. Several out of state banks operating in Georgia have converted their existing banking franchises in Georgia to interstate branches. The Department coordinates with other state and federal banking agencies through an adopted nationwide agreement to provide seamless supervision to these state-chartered interstate entities. De novo branch banking continued in Georgia in a very orderly fashion during 1997. The Department had 9 new bank charter applications, of which 8 were approved in 1997. Two additional new bank charters received in late 1996 were approved in 1997. This new chartering activity, which appears to be slowing, has occurred despite de novo branching and general industry consolidation. The Department in 1997 also chartered its first credit union in many years. The orderly expansion by branching and by chartering will enhance the availability of convenient, affordable banking services for the citizens of Georgia. The growth of the Department's non-depository financial service providers, particularly the mortgage licensees and registrants, continued to require significant Department resources. The Department now regulates over 2,100 mortgage brokers, lenders and registrants with the applications continuing to be filed at a steady pace. Instances of apparent fraud in the mortgage industry in Georgia has also grown requiring additional devoted Department resources. The Department staff remains committed to the preservation and enhancement of a state charter and the dual chartering system. We will continue to work diligently to assure that the depository and non-depository regulatees operate in a safe and sound environment, and also an environment which is flexible and competitive with open lines of communication to the Department. Wilson, Jr. Paul Wilson Shannon Wright -14- Ricky Wynn HISTORY OF THE DEPARTMENT 1919 1997 The Department of Banking and Finance was created by the Executive Reorganization Plan of 1972 as successor to the Department of Banking. In addition to changing the name of the Department, this reorganization also provided for the Department to be headed by a Commissioner as successor to the former Superintendent of Banks, and transferred the supervision of State-Chartered building and loan associations to the Department. The original Department of Banking was created by Act of the Legislature in 1919 concurrent with the enactment of The Banking Law which deals with the incorporation of banks and the regulation of the business of banking. In 1974 the banking laws were subject to substantial recodification in the form of the Financial Institutions Code of Georgia which became effective April 1, 1975. Since the establishment of the Department in 1919, additional responsibilities have been assigned to the agency in the form of the Georgia Credit Union Act (1925); Trust Company Laws of Georgia (1927); Georgia Sale of Checks Act (1965); The Fiduciary Investment Company Act (1970); International Bank Agency Act (1972); Georgia Business Development Corporation Act (1972); Regulation of Check Cashers (1990); and the Georgia Residential Mortgage Act (1993). Provisions of Title 7 of the Code of Georgia relating to Bank Holding Companies were substantially amended effective July 1, 1976, to permit multi- bank holding companies to operate in Georgia under Department supervision. During 1996 and 1997, the Department passed regulations in cooperation with the Office of the Commissioner of Insurance to permit banks in Georgia to sell insurance and annuities. In 1996, Georgia opted-in to the provisions of the federal Riegle-Neal Act which permitted interstate branching of banks by merger. Amendments were also made to interstate holding company laws. This legislation went into effect on June 1, 1997. Branch banking legislation was passed in 1996 which allowed a bank or group of affiliated banks under the same holding company to establish three de novo branch banks in Georgia. Beginning on July 1, 1998, the number of de novo branch banks that a bank may establish will no longer be limited, and the phase in of statewide branching will be complete. -15- State of Georgia Department of Banking and Finance Internet Web Site The Department of Banking and Finance maintains an Internet web site that provides a useful source of information regarding financial institutions in the State of Georgia. The website also provides an overview of the History of the Department and its organizational structure. At our Internet site you will find a reference list of institutions regulated by, licensed by, or registered with the Department. In addition to viewing a full list of institutions by type, a search feature is provided which allows you to submit a query by name or city. The Department's Internet site also provides access to certain sections of the Financial Institutions Code of Georgia. For a comprehensive listing of statutes pertaining to the financial institutions industry, a link is provided to the Official Code of Georgia Annotated. The Department prints several publications at regular intervals which are available through its Internet web site. These include the Department's annual report, a monthly bulletin containing announcements affecting financial institutions and actions taken on applications received by the Department. The Mortgage Division's monthly bulletin may also be viewed at our Internet site. This bulletin contains information related to licensing activities and other matters relevant to the mortgage industry. Related application forms for the mortgage industry are also provided. The Department plans to expand the publications and bulletins section of its web site in the future to include a wider variety of application forms and will also provide access to a public applications manual for guidance and instructions when submitting different types of applications to the Department. This feature will assist you in contacting other regulatory agencies and trade groups by providing web links to various home pages for these organizations. This annual report, required by Section 7-1-74 of the Official Code of Georgia Annotated, provides factual and statistical information useful to the financial industry, financial institutions and individuals who might be engaged in economic studies or might otherwise be interested in the evolution of Georgia's banking structure and related financial services industries. BANKS As reflected in year-end call report information, total assets for the state-chartered and national banks in Georgia amounted to $69.2 billion, reflecting a decrease of $77.8 billion from the end of 1996. This decrease is the result of out-of-state holding companies merging their Georgia subsidiary banks into their home state bank and operating the Georgia locations as branches of the home state bank. As a result, the deposits which were formerly shown in the above figures for Georgia banks are now reported as deposits of the home state bank. During the year, 10 new banks were approved compared to 6 the previous year, 8 new banks began business, 3 federally chartered savings and loan associations converted to state chartered banks, and 10 banks merged into existing banks. Seventy-one new branch banks, offices and facilities were opened or acquired through merger or conversion during the year while 53 were closed for a total of 695 banking offices operating in Georgia at the end of 1997. Fifteen of the 25 de novo branch banks approved in 1997, also began operation during the year. HOLDING COMPANIES The total number of Georgia bank holding companies decreased slightly in 1997. The Department approved 26 applications by financial holding companies to acquire controlling interest in financial institutions. Of this amount, 13 applications were approved to establish new financial holding companies, and 13 applications were approved for additional acquisitions. Many of these applications also resulted in the merger of acquired holding companies into the acquiring institution. At year-end, there were 223 financial holding companies regulated by the Department. INTERNA TIONAL BANKING During 1997, the number of International Bank Representative Offices and Domestic International Banking Facilities licensed by the Department decreased slightly. There were six representative offices of international banks registered or authorized to do business in Georgia. The number of Domestic International Banking Facilities operating in the state decreased from four to two during 1997. The number of International Bank Agencies remained at sixteen for 1997. REPRESENTA TlVE OFFICES OF BANKS As of the end of 1997, there were 53 companies registered as representative offices affiliated with banks, operating in this state compared to 55 at the end of 1996. These included 37 registrants of out-of-state companies and 16 registrants of in-state companies. - 19 - Georgia Department of Banking and Finance REGISTERED OUT-OF-STATE HOLDING COMPANIES Section 7-1-625 of the Official Code of Georgia Annotated requires each bank holding company controlling a bank having banking offices in Georgia to be registered with the Department. At the end of 1997, there were nine out-of-state holding companies who owned banking subsidiaries having branches in Georgia. Six of the registered holding companies were transferred from supervised financial holding companies when the Georgia bank was merged into an out-of-state affiliated bank. Two of the registered holding companies are shown as registered holding companies and as supervised holding companies due to the fact that these two companies still own a Georgia based financial institution. TRUST COMPANIES Trust activities continue to be conducted principally by bank trust departments. As of the end of the year, there were two state-chartered trust companies and one national trust company operating as an independent institution. Other depository financial institutions may exercise limited trust powers in connection with individual retirement accounts authorized by the Employee Retirement Income Security Act of 1976 enacted by Congress. Also, a few financial institutions offer trust services through agency relationships with banks which are authorized to offer trust services. CREDIT UNIONS Credit unions operating under state charter have continued their successful operations during 1997. Consolidated financial and statistical reports of the 86 state-chartered credit unions reflect assets which now total $4.7 billion, which is an increase of $558 million or 13.4% since the beginning of the year. All state-chartered credit unions provide their members with deposit insurance through the National Credit Union Share Insurance Fund. During the year, 2 state chartered credit unions merged into existing state chartered credit unions, one federal credit union merged into a state chartered credit union, one state chartered credit union merged into a federal credit union, and one state chartered credit union liquidated. MORTGAGE LICENSEES AND REGISTRANTS Article 13 of Title 7 of the Official Code of Georgia Annotated requires all persons who transact business as a mortgage broker or lender to be licensed or registered with the Department. At the end of 1997, active licensees and registrants totaled 2,135, a net increase of 447, or 26.5%, during 1997. CHECK CASHERS As of the end of 1997, there were 220 check cashers licensed by the Department. This was a net decrease of 16 over the previous year. SALE OF CHECKS The Department has been supervising companies which sell traveler's checks and money orders to the residents of Georgia since 1965. At the end of the year, 24 companies having a total of 6,596 agents throughout the state were licensed to do business compared to 24 companies with 6,413 agents in 1996. OTHER The Department is charged with the responsibility of supervising the operations of various other companies engaged in or related to the financial services industry. Examinations of bank data processing centers and cooperatives are performed on a regular basis. Also, one business development corporation receives annual examinations by the Department. During 1997, 704 new applications were received plus 41 applications for reinstatement of withdrawn, revoked, or expired licenses for a total of 745 applications. In 1997, 704 applications were approved, 12 were denied, and 10 applications were withdrawn. A total of 255 licenses either expired, were withdrawn or were revoked during the year. Two licenses remained in Suspended status at the end of the year. As of December 31, 1997, there were 2,135 active licenses. During 1997 the Division received 24,712 industry-related calls, which included 6,729 consumer inquiries. A total of 466 oral consumer complaints and 383 written complaints were received by the Division during 1997. As a result of the increasing number of consumer inquiries and complaints received, the Division of Legal and Consumer Affairs was established and charged with the responsibility of handling legal inquiries and consumer complaints. Also, 48 Subpoenas were issued for production of testimony or records. One public hearing was held at the Office of Administrative hearings.
