"Jack" Dunn Mr. E. D. Jack" Dunn was appointed Superintendent of Banks (now known as Commissioner of Banking and Finance) by Governor Jimmy Carter on January 3. 1972. Since that appointment. Mr. Dunn has continued to selVe as Commissioner under the governorships of George Busbee. Joe Frank Harris and Zen Miller. - II - MESSAGE FROM THE COMMISSIONER It is certainly pleasing to report that safety and soundness concerns are minimal for most of the banks and other financial institutions regulated by the Department. The capital structures of most of the institutions are well above required regulatory capital levels. Non-performing loans remain at nominal levels in most institutions even though there is some general concern regarding the consumers' debt load. In addition, financial institutions generally experienced another year of strong earnings performance in 1996. During 1996, the Department's responsibilities for supervising certain non-depository financial service providers continued to present significant challenges. The licensing and supervisory activities required by the Georgia Residential Mortgage Act are certainly the areas presenting the biggest challenges. This law requires that a license be obtained by anyone who makes or brokers loans secured by residential real property located in Georgia unless they are statutorily exempt from this requirement. The number of mortgage lender and broker licensees/registrants continues to grow resulting in a continuation of the Department's increasing workload in this area. At year-end 1996 there were 1,070 active mortgage broker licensees, 517 active mortgage lender licensees and 101 mortgage lender or broker registrants. The rapid rate of change in the financial services industry has not slowed. Further developments in technology, the continuation of consolidation within the financial services industry, the evolution of interstate banking/branching and the expansion of bank powers continue to present significant challenges for the Department and the industry. The Department continues to work to adapt the Financial Institutions Code and Department regulations to assure that Georgia financial institutions are able to remain viable and fUlly competitive. The focus of many of the changes has been to provide the Department and the industry the flexibility to act and react in a timely manner to the rapidly changing environment in which they must operate. The Georgia branching code was amended during the 1996 session of the General Assembly allowing banks to establish de novo branch banks across county lines beginning July 1, 1996. The law limits banks or bank holding companies to three such branching opportunities until July 1, 1998, at which time such branching will become unrestricted statewide. The implementation of this new law has occurred in an orderly fashion. Only 37 de novo branch bank applications were received by the Department in 1996. Bankers appear to be approaching branching decisions in a prudent, business-like manner. The large majority of these applications represent moves into an adjacent county or other markets which are a natural extension of the bank's existing market. Such orderly expansion should strengthen Georgia banks. It is also significant to note that this expansion of branching powers has not stifled new independent bank chartering activity. Three new banks opened for business in 1996, four additional new bank charters had been approved but were not yet open for business as of December 31, 1996, and two other applications pending at year-end were subsequently approved. Further, this new charter activity is continuing into 1997. The orderly expansion by branching and the new banks being chartered will enhance the availability of convenient, affordable banking services for the Georgia public. The Department staff remains committed to the preservation and enhancement of a state charter and of the dual banking system. We will continue to work diligently to assure that the financial institutions' industry in Georgia is able to remain competitive in every respect. Wilson, Jr. Keith Zimmerman - 14 - HISTORY OF THE DEPARTMENT 1919 1996 The Department of Banking and Finance was created by the Executive Reorganization Plan of 1972 as successor to the Depart- ment of Banking. In addition to changing the name of the Department this reorganization also provided for the Department to be headed by a Commissioner as successor to the former Superintendent of Banks, and transferred the supeNision of State-Chartered building and loan associations to the Department. The original Department of Banking was created by Act of the Legislature in 1919 concurrent with the enactment of The Banking Law which deals with the incorporation of banks and the regulation of the business of banking. In 1974 the Banking laws were subject to substantial recodification in the form of the Financial Institutions Code of Georgia which became effective April 1, 1975. Since the establishment of the Department in 1919, additional responsibilities have been assigned to the agency in the form of the Georgia Credit Union Act (1925); Trust Company Laws of Georgia (1927); Georgia Sale of Check Act (1965); The Fiduciary Investment Company Act (1970); International Bank Agency Act (1972); Georgia Business Development Corporation Act (1972); Regulation of Check Cashers (1990); and the Georgia Residential Mortgage Act (1993). Provisions of Title 7 of the Code of Georgia relating to Bank Holding Companies were substantially amended effective JUly L 1976, to permit multibank holding companies under Department supeNision. In 1996, Georgia opted-in to the provisions of the federal Riegal-Neal Act which permitted interstate branching by merger. This legislation takes effect June 1, 1997. Nationwide acquisitions were recognized by other legislation in 1996, effective April L 1996. Beginning numbers are adjusted accordingly. .. - 17 - Georgia Department of Banking and Finance AN OVERVIEW OF THE FINANCIAL SERVICE PROVIDERS REGULATED BY THE DEPARTMENT OF BANKING AND FINANCE " The financial and statistical information contained in this report has been compiled from the annual reports of condition submitted by the 287 state-chartered banks, five credit card banks (three state-chartered and two with a national charter), 67 national banks, 89 statechartered credit unions, 24 licensed money order companies operating in this state, and other statistical information made available through the examination, investigation and licensing of financial institutions and other entities under the supervision of the Department of Banking and Finance. This report required by Section 7-1-74 of the Official Code of Georgia Annotated, provides factual and statistical information useful to the financial industry, financial institutions and individuals who might be engaged in economic studies or might otherwise be interested in the evolution of Georgia's banking structure and related financial services industries. BANKS As reflected in year-end call report information, the banking system in Georgia grew 10.9% in 1996. Total assets for the state-chartered and national banks amounted to $147,081 billion, reflecting an increase of $14,422 billion from the end of 1995. During the year, six new banks were approved compared to four the previous year, three new banks began business, one bank converted from national to state charter, and five state-chartered banks converted to federally chartered savings and loan associations. One hundred sixty-two new banking offices and facilities were opened or acquired through merger or conversion during the year while 197 were closed. Twenty-two banks merged into existing banks and at year end, there were 287 state-chartered banks, plus three credit card banks, with 695 banking offices operating in Georgia. Twenty of the 33 de novo branch banks approved in 1996, also began operation during the year. HOLDING COMPANIES The total number of Georgia bank holding companies decreased slightly in 1996. The Department approved 46 applications by financial holding companies to acquire controlling interest in financial institutions. Of this amount 16 applications were approved to establish new financial holding companies, and 30 applications were approved for additional acquisitions. Many of these applications also resulted in the merger of acquired holding companies into the acquiring institution. The continued increase in acquisition activities of holding companies is an indicator of the favorable financial climate prevalent in Georgia for 1996. At year-end, there were 232 financial holding companies regulated by the Department. INTERNATIONAL BANKING During 1996, the number of International Bank Representative Offices and Domestic International Banking Facilities licensed by the Department remained the same. The year ended with sixteen international bank agencies, a decline of two from the previous year, and seven representative offices of international banks registered or authorized to do business in Georgia. There are also four Domestic International Banking Facilities operating in the state, These entities are only empowered to accept off-shore deposits and grant offshore loans which are in excess of $100,000, - 18 - Georgia Department of Banking and Finance REPRESENTATIVE OFFICES OF BANKS As of the end of 1996, there were 55 companies registered as representative offices affiliated with banks, operating in this state compared to 53 at the end of 1995. These included 43 registrants of out-of-state companies and 12 registrants of in-state companies. TRUST COMPANIES Trust activities continue to be conducted principally by bank trust departments. As of the end of the year, there were two state-chartered trust companies and one national trust company operating as an independent institution. Other depository financial institutions may exercise limited trust powers in connection with individual retirement accounts authorized by the Employee Retirement Income Security Act of 1976 enacted by Congress. Also, a few financial institutions offer trust seNices through agency relationships with banks which are authorized to offer trust seNices. CREDIT UNIONS Credit unions operating under state charter have continued their successful operations during 1996. Consolidated financial and statistical reports of the 88 state-chartered credit unions reflect assets which now total $4, 158 billion, which is an increase of $179 million or 4.5% since the beginning of the year. These totals do not reflect the assets of an additional credit union which is in liquidation. All state-chartered credit unions provide their members with deposit insurance through the National Credit Union Administration. During the year, three state chartered credit unions merged into federal credit unions, one federal credit union merged into a state credit union and two state chartered credit unions liquidated. MORTGAGE LICENSEES AND REGISTRANTS Article 13 of Title 7 of the Official Code of Georgia Annotated requires all persons who transact business as a mortgage broker or lender to be licensed or registered with the Department. At the end of 1996, active licensees and registrants numbered 1,688, a net increase of 292, or 20,9%, during 1996. CHECK CASHERS As of the end of 1996, there were 236 check cashers licensed by the Department. This was a net increase of eight over the previous year. The Department has continued examination of these licensees and for the most part, they were found to be operating within the confines of the law. A current listing of those businesses holding check cashing licenses can be obtained by contacting the Department. SALE OF CHECKS The Department has been supeNising companies which sell traveler's checks and money orders to the residents of Georgia since 1965. Regular examinations of the companies which are headquartered in Georgia are performed, and off-site financial review is performed on those companies headquartered elsewhere. At the end of the year, 24 companies having a total of 6,413 agents throughout the state were licensed to do business compared to 23 in 1995. - 19 - Georgia Department of Banking and Finance OTHER The Department is charged with the responsibility of supervising the operations of various other companies engaged in or related to the financial services industry. Examinations " of bank data processing centers and cooperatives are performed on a regular basis. Also, one business development corporation receives annual examinations by the Department. During the year 442 new applications were received plus 31 applications for reinstatement of withdrawn, revoked or expired licenses for a total of 502 applications. Of that total, 437 were approved 19 were denied, and 7 applications were withdrawn, leaving 39 applications in process of review at the end of 1996. As of December 31, 1995, there were 1,396 licensees/registrants, New licenses or registrations during 1996 totaled 404, with the remainder of the approvals being reinstatements, Also a net amount of 145 licenses expired, were withdrawn, or revoked leaving a total of 1,688 licensees and registrants as of December 31, 1996. In addition, there were 27 licensees who transfE?rred between brokers, lenders and registrants. Incoming telephone calls received by the Division are tabulated to determine the number of verbal consumer complaints. During 1996 the Division received 15,887 industry-related calls, 4,983 of which were consumer inquiries and 632 of which were oral consumer complaints. Of the volume of verbal complaints received, approximately 50% followed up the complaint in writing. During 1996, the Division received 372 written complaints with 34 complaints outstanding at the end of the year. The Division levied fines on 111 licensees/registrants for failure to submit the written 1995 Annual Report by the due date of April 1, 1996. These fines had to be paid before a renewal license could be issued. Mortgage Division examiners conducted 346 examinations and 9 visitations of licensees. In 1996, there were 18 Cease and Desist Orders to both licensed and unlicensed persons or companies issued, Also, ten Apparent Criminal Irregularity Reports were sent to local District Attorneys' offices.
