MINUTES OF THE MEETING OF THE BOARD OF REGENTS OF THE UNIVERSITY SYSTEM OF GEORGIA HELD AT Atlanta, Georgia March 17, 2009 CALL TO ORDER The Board of Regents of the University System of Georgia met on Tuesday, March 17, 2009, in the Board Room, 270 Washington St., S.W., in Atlanta The Chair of the Board, Regent Richard L. Tucker, called the meeting to order at approximately 1:00 p.m. Present on Tuesday, in addition to Chair Tucker, were Vice Chair Robert F. Hatcher and Regents James A. Bishop, Kenneth R. Bernard, Jr., Hugh A. Carter, Jr., William H. Cleveland, Felton Jenkins, W. Mansfield Jennings, Jr., James R. Jolly, Elridge W. McMillan, Donald M. Leebern, Jr., William H. NeSmith, Jr., Doreen Stiles Poitevint, Willis J. Potts, Jr., Wanda Yancey Rodwell, Kessel D. Stelling, Jr., Benjamin Tarbutton, III, and Allan Vigil. INVOCATION The invocation was given by Regent William H. Cleveland. SAFETY BRIEFING Chief Bruce Holmes gave a briefing of basic safety information. ATTENDANCE REPORT The attendance report was read by the Secretary to the Board, J. Burns Newsome, who announced that all Regents were present. APPROVAL OF MINUTES The minutes of the Board of Regents meetings held on February 10, 2009, and February 25, 2009, were unanimously approved. INTRODUCTION OF NEW PRESIDENT: COLLEGE OF COASTAL GEORGIA Chancellor Erroll B. Davis, Jr. introduced Dr. Valerie A. Hepburn, who was appointed as the President of The College of Coastal Georgia ("CCG") on January 13, 2009. President Hepburn's previous service to the University System includes service as Assistant Dean of the University of Georgia's College of Public Health and Associate Director of the Institute of Public Health at Georgia State University. She has also served as an adjunct faculty member at The Medical College of Georgia and as the Director of the Division of Health Planning at the Georgia Department of 1 Community Health. President Hepburn holds a Ph.D. in Public Policy and Administration from the University of Georgia (2006), a Master of Public Administration from Georgia State University (1987), and a Bachelor of Arts from Agnes Scott College (1983). President Hepburn thanked the Board for its support of the college and for its confidence in her. RECOGNITION OF GUESTS Chancellor Davis recognized several legislative guests who attended President Hepburn's introduction and remarks. These legislative guests included Representative Jerry Keen, Representative Roger Lane, and Ms. Sally Fox. Chancellor Davis also recognized Mr. Andre Goodman from Augusta State University and Mr. Evan Eskeridge from Georgia State University, both of whom are members of the University System Student Advisory Council, and Dr. Saida Akbarova, who is from Uzbekistan and is in Georgia studying educational leadership. CHANCELLOR'S REMARKS Chancellor Davis updated the Board on key legislation currently under consideration by the General Assembly. He explained that a very complex legislative session has been dominated by the national economy. The state's net revenue collection fell drastically in February and was 34% less than the same month last year. The total recommended budget reductions thus far for Fiscal Year 2010 is $265.6 million. Stabilization funds from the federal stimulus package will help for Fiscal Years 2010 and 2011, but these funds are only temporary. The Chancellor also reminded the Board that the poor economy is driving applications for admission to record highs. Exploding demand coupled with severe budget cuts will make effective planning both more complicated and more critical. The Chancellor thanked the University System's faculty and staff as well as members the Board for working so hard to meet student demand in a time of diminishing resources. He ended by stressing that the future of Georgia depends on public higher education. COMMITTEE OF THE WHOLE: STRATEGIC PLANNING Under the leadership of Chair Robert F. Hatcher, the Strategic Planning Committee, meeting as a Committee of the Whole, heard a presentation on Goal One of the Strategic Plan. The Associate Vice Chancellor for Planning and Implementation, Shelley C. Nickel, introduced Dr. Linda M. Noble, Assistant Vice Chancellor for Faculty Affairs, who discussed the teaching responsibilities of today's faculty and how they can impact student learning. 2 Dr. Noble was joined by Dr. Christy Price, Professor of Psychology at Dalton State College. Dr. Price is an award-winning faculty member who has conducted research on teaching techniques that influence student motivation. Dr. Price addressed the key points of her research and explained why teaching methods need to be adjusted to meet the learning needs of today's students. COMMITTEE REPORTS EXECUTIVE AND COMPENSATION COMMITTEE The Executive and Compensation Committee met on Tuesday, March 17, 2009, at approximately 9:32 a.m. in room 7019. Committee members in attendance were Chair Richard L. Tucker, Vice Chair Robert F. Hatcher, and Regents James R. Jolly, Donald M. Leebern, Jr., Elridge McMillan, and Allan Vigil. University System of Georgia staff members who were present included Chancellor Erroll B. Davis, Jr., the Vice Chancellor for Legal Affairs & Secretary to the Board, J. Burns Newsome, the Chief Operating Officer, Robert E. Watts, and the Chief Academic Officer & Executive Vice Chancellor, Susan Herbst. Chair Tucker reported to the Board that the Committee reviewed several items in executive session, only one of which required action. 1. Information Item: Academic Programs The Chancellor informed the Board that some institutions had submitted for Board approval programs which might not be consistent with the proposing institutions' mission statements. The committee agreed that such proposals would not be considered until the Board could have a fuller discussion on institutional missions. 2. Information Item: Presidential Search Update The Chief Academic Officer & Executive Vice Chancellor, Susan Herbst, briefed the committee on presidential searches currently in progress. 3. Executive Session: Personnel Matters At approximately 9:40 a.m. on Tuesday, March 17, 2009, Chair Richard L. Tucker called for an executive session for the purpose of discussing personnel matters. With motion properly made and seconded, the Regents who were present voted unanimously to go into executive session. Those Regents are as listed above. The Chancellor and members of his senior staff also were present. In accordance with H.B. 278, Section 3 (amending O.C.G.A. 50-14-4), an affidavit regarding this executive session is on file in the Office of the Secretary to the Board. Chair Tucker reconvened the committee in its regular session at approximately 10:04 a.m. and announced that no actions were taken during executive session. 3 4. Emeritus Appointment On the advice of Chancellor Davis and President Mark P. Becker, the Board elected Carl V. Patton as President Emeritus of Georgia State University. The committee meeting adjourned at approximately 10:06 a.m. COMMITTEE ON ACADEMIC AFFAIRS The Committee on Academic Affairs met on Tuesday, March 17, 2009, at approximately 10:15 a.m. in room 5158. Committee members in attendance were Chair James A. Bishop, Vice Chair Kessel D. Stelling, Jr., and Regents Kenneth R. Bernard, Jr., Hugh A. Carter, Jr., W. Mansfield Jennings, Jr., Elridge W. McMillan, and Doreen Stiles Poitevint. Also in attendance were the Chief Academic Officer & Executive Vice Chancellor, Susan Herbst, and other System Office staff. Representatives from System institutions were also present. Chair Bishop reported to the Board that the Committee had reviewed 17 items, 15 of which required action. With motion properly made, seconded, and unanimously adopted, the Board approved and authorized the following: 1. Revised Mission Statement, East Georgia College The Board approved the request of President John B. Black that East Georgia College be authorized to revise its mission statement, effective March 18, 2009. The College's revised Mission Statement is as follows: East Georgia College is an associate degree granting, liberal arts institution of the University System of Georgia providing its students access to both academically transferable programs of study and collaborative programs in occupation related fields. The College prepares traditional and nontraditional students for success in the global 21st Century through a technologically advanced teaching and learning environment that fosters personal growth. The College continuously engages the communities it serves through public service, continuing education, cultural enrichment, and economic development opportunities. 2. Revised Mission Statement, Georgia Highlands College The Board approved the request of President J. Randolph Pierce that Georgia Highlands College be authorized to revise its mission statement, effective March 18, 2009. The College's revised Mission Statement is as follows: Georgia Highlands College, a two-year institution of the University System of Georgia, will provide access to excellent educational opportunities for the intellectual, cultural, and physical development of a diverse population. 4 Goal Statements To achieve this mission of being a gateway to success for students, Georgia Highlands College has articulated the following goals: 1. Effect quality teaching and learning that are focused on academic achievement and personal and professional growth. 2. Provide comprehensive student services that encourage and enable all students to be successful learners. 3. Engage students in a challenging atmosphere that prepares them for responsibility and leadership in an evolving global environment. 4. Utilize appropriate technologies to advance programs, services and operations to support teaching and learning. 5. Maintain efficient and effective administrative services to support all programs of the college. 3. Revised Institutional Statutes, Georgia Southwestern State University The Board approved the request of President Kendall A. Blanchard that Georgia Southwestern State University be authorized to revise the university's institutional statutes, effective March 18, 2009. The revision relates to the function and composition of standing committees. The revised section of the statutes was approved by the faculty on December 5, 2008. The changes involved how the institutional Committee on Academic Affairs would address the improvement of facilities in the Library and Instructional Technology Center and the work of the Deans in implementing a balanced and adequate acquisitions program as well as determining policies for the maximum student utilization of those facilities. The revised institutional statutes are on file in the Board's Office of Academic Affairs. 4. Establishment of the Paulding County Site, Georgia Highlands College and Kennesaw State University The Board approved the request of Presidents John Randolph Pierce and Daniel S. Papp that Georgia Highlands College and Kennesaw State University be authorized to establish a Paulding County site for educational instruction, effective March 18, 2009. The site will be used to meet the higher education demands of an increasing number of under-served students in the area. Instructional delivery at the Paulding site will be accomplished through traditional face-to-face classroom contact as well the use of some distance education technologies. It 5 is anticipated that a limited number of faculty will be assigned and based at the site until the demand for specific programs of study has been identified. In addition, a growing cadre of experienced and reliable part-time faculty will be assigned to the site. 5. Establishment of a Bachelor of Science in Earth and Space Science, Columbus State University The Board approved the request of President Timothy S. Mescon that Columbus State University be authorized to establish a Bachelor of Science in Earth and Space Science, effective March 18, 2009. 6. Establishment of a Bachelor of Science and Master of Science in Accounting, Southern Polytechnic State University The Board approved the request of President Lisa A. Rossbacher that Southern Polytechnic State University be authorized to establish a Bachelor of Science and Master of Science in Accounting, effective March 18, 2009. 7. Establishment of Secondary Education Certification for the Existing Bachelor of Arts with a major in English and the Bachelor of Science with a major in Biology, Clayton State University The Board approved the request of President Thomas K. Harden that Clayton State University be authorized to establish secondary education certification options for the existing Bachelor of Arts with a major in English and the Bachelor of Science with a major in Biology, effective March 18, 2009. 8. Establishment of an Associate of Science in Radiologic Technology, Georgia Perimeter College The Board approved the request of President Anthony S. Tricoli that Georgia Perimeter College be authorized to establish an Associate of Science in Radiologic Technology, effective March 18, 2009. 9. Establishment of the Existing Doctor of Nursing Practice as an External Program at Macon State College, Medical College of Georgia The Board approved the request of President Daniel W. Rahn that the Medical College of Georgia be authorized to offer, as an external degree, the existing Doctor of Nursing Practice as an external program at Macon State College, effective March 18, 2009. 10. Establishment of the Existing Doctor of Education with a major in Adult Education as an External Program at the UGA Gwinnett Campus, University of Georgia The Board approved the request of President Michael F. Adams that the University of Georgia be 6 authorized to offer, as an external degree, the existing Doctor of Education with a major in Adult Education as an external program at the UGA Gwinnett Campus, effective March 18, 2009. 11. Substantive Change of Specialist in Education Programs in Secondary Education, Columbus State University The Board approved the request of President Timothy S. Mescon that Columbus State University be authorized to substantively change Specialist in Education programs in secondary education, effective March 18, 2009. Specifically, the Board approved President Mescon's request to merge the Specialist in Education programs in secondary English, secondary mathematics, secondary science, and secondary social science/history into one Specialist in Education program in secondary education. The individual programs have a common professional core (10 hours) and a concentration (20 hours) in one of the aforementioned disciplinary areas. Combining the programs into one Specialist in Education program will create a robust program in terms of enrollment and number of graduates while still allowing students to complete advanced studies in their discipline. 12. Named Faculty Positions Administrative and academic appointments were reviewed by the Chair of the Committee on Academic Affairs. Records concerning such appointments are on file and available for inspection in the Board's Office of Academic Affairs. 13. Termination of Specific Academic Programs, Macon State College The Board approved the request of President David A. Bell that Macon State College be authorized to terminate academic programs, effective March 18, 2009. Specifically, the Board approved President Bell's request to terminate the following programs: Associate of Applied Science in Public Management, the Associate of Applied Science in Health Science, and a one-year certificate in Business Management. 14. Termination of Specific Academic Programs, University of Georgia The Board approved the request of President Michael F. Adams that the University of Georgia ("UGA") be authorized to terminate academic programs, effective March 18, 2009. Specifically, the Board authorized the university to terminate the following programs: Bachelor of Science in Education with a major in Instructional Psychology, Training, and Technology Master of Science with a major in Anatomy Doctor of Philosophy with a major in Language Education Master of Science with a major in Physiology Master of Science with a major in Pharmacology Doctor of Philosophy with a major in Physical Education and Sport Studies 7 Master of Education with a major in Physical Education and Sport Studies Master of Arts with a major in Physical Education and Sport Studies Doctor of Education with a major in Physical Education and Sport Studies Master of Arts with a major in Greek Master of Arts in Teaching with a major in English Doctor of Education with a major in Reading Education 15. Waiver to Degree Credit Hour Length for the Bachelor of Music with a major in Music Therapy, University of Georgia The Board approved the request of President Michael F. Adams that the University of Georgia ("UGA") be authorized to waive the credit hour degree length requirement for the Bachelor of Music with a major in Music Therapy, effective March 18, 2009. The university requested a credit hour waiver for the major in Music Therapy under the Bachelor of Music Degree from 122 to 129 credit hours. The change is necessary to meet the accreditation standard of the American Music Therapy Association, which has been modified to include additional clinical work. The clinical experiences are required for graduates to obtain Music Therapy Board Certification, an important credential for students who seek to practice in the profession. The major in Music Therapy is currently approved at 122 credit hours for graduation. As a result of the accreditation revision, the major will now require 129 credit hours. 16. Information Item: Follow-up Report on System Office and Institutional Diversity The Vice Chancellor for Human Resources, Mr. Wayne Guthrie, made a presentation to the committee regarding diversity planning and initiatives for Fiscal Year 2010. 17. Information Item: Report on Peer Comparator Institutions The Vice Chancellor for Research and Policy Analysis, Dr. Cathie Mayes Hudson, led a discussion and provided a report on those institutions that are considered peer comparators of University System of Georgia institutions. A detailed Report on Peer Comparator Institutions of the University System of Georgia is available for inspection in the Board's Office of Academic Affairs. Regent Bernard expressed concern about the state's critical need for excellent teachers and his fear that the state will not be able to meet the demand for teachers. The problem is exacerbated by the current economic downturn and the lack of resources available to most school systems for hiring new teachers. He is fearful that the current situation may lead students to not pursue degrees in education fields. He requested that the Board work with the Georgia Board of Education to ensure an adequate supply of outstanding teachers. Renewal and Amendments of Agreements Between the Board of Regents and MCG Health, Inc. Regarding Medical College of Georgia Hospitals and Clinics The Board approved the renewal of the Master Affiliation Agreement and all Associated Agreements for Fiscal Year 2009 between the Medical College of Georgia and MCG Health, Inc. regarding the operation of MCG Hospitals and Clinics, with amendments. A copy of the proposed agreements is on file and available for inspection in the Board's Office of Fiscal Affairs. 2. Information Item: Update on Shared Services Initiative The Vice Chancellor for Fiscal Affairs, Ms. Usha Ramachandran, provided the committee with an update of the University System of Georgia's Shared Services Initiative. The committee meeting adjourned at approximately 10:44 a.m. COMMITTEE ON MEDICAL EDUCATION EXPANSION The Committee on Medical Education Expansion met on Tuesday, March 17, 2009, at approximately 8:30 a.m. in Room 5158. Committee members in attendance were Chair James A. Bishop and Regents Kenneth R. Bernard, Jr., Felton Jenkins, Donald M. Leebern, Jr., William H. NeSmith, Jr., Willis J. Potts, Jr., and Kessel D. Rahn, the Executive Director of the Center for Health Workforce, Benjamin R. Robinson, and representatives from institutions were also in attendance. Chair Bishop reported to the Board that the Committee reviewed three information items, none of which required action. 1. Information Item: Ongoing preparation for accreditation site visit to Athens Campus. The Liaison Committee for Medical Education ("LCME") will make its official site visit to the MCG/UGA Partnership Campus in Athens in April. The Partnership campus must receive approval from the LCME before the MCG/UGA campus can begin recruiting medical students. In preparation for this visit, MCG staff has provided important material to the LCME for their 9 review. Additional actions have also been taken to prepare for the visit in April. 2. Information Item: Update on developments with Medical Education programs at Partnership Campus Dr. Barbara Schuster, Dean of the Athens campus, provided the committee with an update on medical education operations at the Partnership campus in Athens. Information provided to the committee covered ongoing progress with recruitment, facilities, equipment, curriculum development, student services, admissions, and other items. 3. Information Item: Guiding principles for operating agreement President Rahn informed the committee of agreements between MCG and UGA leadership that outline critical components of the operations of the MCG/UGA medical partnership campus in Athens. Included in these agreements are controls put on use of funds for the partnership campus, faculty appointments, and services for medical students and faculty. The Committee meeting adjourned at approximately 9:27 a.m. COMMITTEE ON INTERNAL AUDIT The Committee on Internal Audit met on Tuesday, March 17, 2009, at approximately 10:44 a.m. in the Board Room. Committee members in attendance were Chair Felton Jenkins, Vice Chair James R. Jolly, and Regents William H. Cleveland, Donald M. Leebern, Jr., William H. NeSmith, Jr., Willis J. Potts, Jr., and Benjamin J. Tarbutton, III. The Vice Chair of the Board, Robert F. Hatcher, Chancellor Erroll B. Davis, Jr., and the Chief Audit Officer & Associate Vice Chancellor for Internal Audit, Ronald B. Stark, were also in attendance. Chair Jenkins reported to the Board that the Committee reviewed two items, neither of which required action. 1. Information Item: Presentation of Fiscal Year 2008 Audits Completed by the Georgia Department of Audits and Accounts The Georgia Department of Audits and Accounts is required by the Accounting and Reporting Assessment ("AICPA") to provide audit findings, adjustments and misstatements to those persons "providing governance" to the audited organization. Claire Arnold, the Audit Manager for Georgia Department of Audit and Accounts presented the results of the Fiscal Year 2008 audits. A copy of the report is on file and available for inspection in the Board's Office of Internal Audit. 2. Information Item: University System Accounting and Reporting Assessment for the Year Ended June 30, 2008 The Georgia Department of Audits and Accounts ("DOAA") has completed Audits, Management Reports or Agreed Upon Procedures at all University System of Georgia institutions. The audits 10 classified some audit findings as a "Significant Deficiency" or "Material Weakness." Additionally DOAA made observations that noted areas requiring improvement. The Chief Audit Officer & Associate Vice Chancellor, Ronald B. Stark, and the Vice Chancellor for Fiscal Affairs, Usha Ramachandran, discussed with the committee ways in which the System Office will be addressing the issues identified by DOAA. Additionally, Mr. Stark explained how the audit reporting from the DOAA reports differs from last year and put into perspective the individual rating for each audit finding. Mr. Stark also provided to the committee the campus Audit Ratings resulting from the DOAA audits. With motion properly made, seconded, and unanimously adopted, the Board approved and authorized the following: 1. Authorization of Project Modification, Project No. BR-30-0804, Techway Building, Georgia Institute of Technology The Board modified the budget of Project BR-30-0804, Techway Building, Georgia Institute of Technology ("GIT"), to increase the total project budget from $2.6 million to $4.5 million. The Techway Building renovation project was approved by the Board in April, 2008. A change in programmed space occurred during the design phase, when one of the primary research tenants left 12 GIT for another university, making available 3,500 square feet. GIT's new research tenant is the College of Computing's Robotics and Intelligent Machines Center. The change in tenant has increased project costs for design modifications, additional mechanical/electrical/plumbing systems requirements and additional civil engineering work. Funding of this entire project (including the cost increase of approximately $1.9 million) will be GIT Institution funds. Naming of the Lumpkin Glen, Columbus State University The Board approved the naming of the Corn Center park area at Columbus State University ("CSU") the "Lumpkin Glen" in recognition of Mr. and Mrs. Frank G. Lumpkin, Jr. Mr. and Mrs. Frank G. Lumpkin, Jr. have been longstanding supporters, encouragers and faithful donors of CSU. Frank G. Lumpkin, Jr. gave $2,000,000 to help build the Frank G. Lumpkin, Jr. Center on the CSU main campus. The most recent gift from the estate of Mr. Lumpkin was an additional $1,000,000. 3. Naming of the Barnett and Frances Woodruff Riverfront Park, Columbus State University The Board approved the naming of the green space at the RiverPark Campus university theatre of Columbus State University ("CSU") the "Barnett and Frances Woodruff Riverfront Park" in recognition of Mr. and Mrs. Barnett Woodruff. Mr. and Mrs. Barnett Woodruff have been longstanding supporters, encouragers and faithful donors of CSU. Mr. and Mrs. Woodruff have donated $500,000 to CSU. Additionally, Mr. and Mrs. Woodruff recently pledged $1,500,000 of which $675,000 has been received. Mr. Barnett Woodruff currently serves as an Honorary Trustee of the Columbus State University Foundation. 4. Naming of the Richard M. Olnick Golf Studio, Columbus State University The Board approved the naming of the Columbus State University ("CSU") golf studio at Bull Creek Golf Course the "Richard M. Olnick Golf Studio" in recognition of Mr. Richard Olnick. 13 Mr. Olnick has donated $1,500,000 to CSU. Recently, the Jordan Foundation / Mrs. Richard Olnick and other family members gave $40,000 in honor of Mr. Richard Olnick. This donation was used to build the golf studio at Bull Creek Golf Course. 5. Demolition, Knight Drive Properties, Georgia Southern University The Board declared the buildings located at 201 Knight Drive, 205 Knight Drive, 215 Knight Drive and 403 Knight Drive on the campus of the Georgia Southern University ("GSOU"), Statesboro, Georgia to be no longer advantageously useful to GSOU or other units of the University System of Georgia and authorized demolition and removal of these buildings. The Board requested the Governor to issue an executive order authorizing the demolition and removal of these buildings from the campus of GSOU. The Board also determined that demolition and removal of these buildings be subject to adequate mitigation of all adverse environmental impacts. In April, 2008, the Board authorized the acquisition of 205, 215 and 403 Knight Drive. In June, 2008, the Board authorized the acquisition of 201 Knight Drive. The Board was advised of the intent to demolish these structures at a later date to provide additional parking for the adjacent student housing and potential on-campus housing expansion. A hazardous materials survey and assessment has been conducted and has identified recommendations for the proper management and disposal of asbestos-containing materials, lead based paint, and other hazardous materials during demolition to ensure compliance with environmental regulations. 6. Demolition, Proctor & Cooper Hall, South Georgia College The Board declared Cooper Hall and Proctor Hall on the campus of South Georgia College ("SGC"), Douglas, Georgia, to be no longer advantageously useful to SGC or other units of the University System of Georgia and authorized demolition and removal of these buildings. The Board requested the Governor to issue an executive order authorizing the demolition and removal of these buildings from the campus of SGC. Proctor Hall is a 5,754-square-foot ("sf") dormitory, constructed in 1931, that is currently vacant. Cooper Hall is a 24,882 sf dormitory, constructed in 1952, that is currently vacant. While both buildings are eligible for listing on the National Register of Historic Places, their removal is in accordance with the SGC Master Plan, which calls for the site to be part of expansion of the SGC's campus green space and proposed future parking lots critical for managing expected future growth. SGC is adhering to the requirements of the Georgia Environmental Policy Act ("GEPA") and State Stewardship review, and is working with the Georgia Historic Preservation Division to appropriately mitigate the adverse impact of demolition. 14 A hazardous materials survey and assessment has been conducted and has identified recommendations for the proper management and disposal of asbestos-containing materials, lead based paint, and other hazardous materials during demolition to ensure compliance with environmental regulations. 7. Non-Exclusive Easement, Georgia Power Company, Brittain Drive and Bobby Dodd Way, Atlanta, Georgia Institute of Technology The Board declared an approximately 0.002 acre tract of unimproved real property and an approximately 0.009 acre tract of unimproved real property, both located on Brittain Drive near Bobby Dodd Way on the campus of the Georgia Institute of Technology ("GIT"), to be no longer advantageously useful to GIT or other units of the University System of Georgia but only to the extent and for the purpose of granting non-exclusive easements to the Georgia Power Company ("Georgia Power") for use as transformer locations. The Board authorized the execution of non-exclusive easements with Georgia Power for the abovereferenced tracts of real property. The terms of this non-exclusive easement be subject to review and legal approval by the Georgia Department of Law. These easements are for necessary equipment that is part of the underground relocation of existing overhead electrical distribution lines as part of GIT's Bobby Dodd Way streetscape improvements project. The distribution equipment being placed on these properties provide service to the GIT campus including Peters Parking Deck, sorority houses and outdoor lighting in the area. 8. Resolution 2009C and 2009D General Obligation Bond Issue, Georgia State Financing and Investment Commission, University System of Georgia The Board adopted the Resolution prepared by the Revenue Division of the Department of Law covering the issuance of 2009C and 2009D General Obligation Bonds ("G.
